คู่สัญญาตกลงให้ข้อมูลความลับไม่รวมข้อมูลดังต่อไปนี้

(ก) ข้อมูลที่รู้โดยสาธารณะหรือสามารถเปิดเผยได้โดยปราศจากการทำผิดสัญญา
(ข) ข้อมูลที่ อยู่ในความครอบครองของฝ่ายได้รับมาตั้งแต่ต้นและไม่ได้มีข้อตกลงให้รักษาความลับไว้ก่อน
(ค) คู่สัญญาได้รับข้อมูลมาโดย ปราศจากข้อบังคับของการรักษาข้อมูลความลับจากบุคคลที่สามซึ่งบุคคลที่สามก็ ได้รับมาโดย ปราศจากข้อบังคับของการรักษาความลับ เหมือนกัน
(ง) ถูกเรียกร้องให้เปิดเผยข้อมูลโดยข้อบังคับตามกฎหมายหรือจากหน่วยงานราชการ ซึ่งในสถานะการณ์เช่นนี้ ข้อบังคับตามสัญญา ข้อ 5 จะถูกนำมาบังคับใช้
