ข้อ 4. การจัดการ

ข้อ 5. การดำเนินกิจการ
คู่สัญญาตกลงจะไม่ประกอบกิจการอย่างหนึ่งอย่างใด ซึ่งมีสภาพอย่างเดียวกันหรือเป็นการค้าอันมีลักษณะแข่งขันกับกิจการของหุ้นส่วน ไม่ว่าจะเป็นการทำเพื่อประโยชน์ของตนเอง หรือของผู้อื่นก็ตาม เว้นแต่จะได้รับความยินยอมเป็นหนังสือจากคู่สัญญาทุกฝ่าย

ข้อ 6. การถอนการเป็นหุ้นส่วน
คู่สัญญาตกลงจะไม่ถอนหุ้น หรือทรัพย์สินที่นำมาเข้าหุ้นส่วนตามสัญญานี้ไม่ว่าทั้งหมดหรือบางส่วน เว้นแต่จะได้รับความยินยอมเป็นหนังสือจากคู่สัญญาทุกฝ่าย



ข้อ 7. การผิดสัญญา
คู่สัญญาตกลงว่า หากคู่สัญญาฝ่ายใดฝ่ายหนึ่งผิดสัญญาข้อหนึ่งข้อใดตามสัญญานี้ คู่สัญญาอีกฝ่ายหนึ่งมีสิทธิบอกเลิกสัญญา และเรียกค่าเสียหายได้

ข้อ 8. ดอกเบี้ย
คู่สัญญาตกลงว่า ในกรณีที่ฝ่ายใดฝ่ายหนึ่งมีสิทธิคิดดอกเบี้ยต่อกัน ทั้งสองฝ่ายตกลงให้ใช้อัตราดอกเบี้ยร้อยละ 15 ต่อปี บังคับระหว่างกัน

ข้อ 9. การบอกกล่าวทวงถาม
การบอกกล่าวทวงถาม หรือส่งเอกสารใด ๆ อันพึงมีไปยังคู่สัญญาอีกฝ่ายหนึ่งตามภูมิลำเนาที่ปรากฏในสัญญานี้ ให้ถือเป็นการส่งโดยชอบ และคู่สัญญาอีกฝ่ายได้ทราบแล้ว นับแต่วันที่คำบอกกล่าว หรือเอกสารนั้น ๆ พึงไปถึงตามปกติ

สัญญานี้ทำขึ้นเป็นสองฉบับ มีข้อความถูกต้องตรงกัน ทั้งสองฝ่ายได้ทราบ และเข้าใจข้อความของสัญญาโดยตลอดดีแล้ว เห็นว่าถูกต้องตรงตามเจตนาของตน จึงได้ลงลายมือชื่อ และประทับตรา (ถ้ามี) ไว้เป็นสำคัญต่อหน้าพยาน และต่างยึดถือไว้ฝ่ายละฉบับ
