การพัฒนาพื้นที่แหลมฉบังเป็นส่วนหนึ่งของการพัฒนาตั้งแต่ปี 2524 ตามแผนพัฒนาเศรษฐกิจและสังคมแห่งชาติ ฉบับที่ 5 (พ.ศ. 2525 – 2529) และฉบับที่ 6 (พ.ศ. 2530 – 2534) ซึ่งได้กำหนดพื้นที่แหลมฉบังเป็นพื้นที่เป้าหมายในการพัฒนาดำเนินการก่อสร้างและพัฒนาศักยภาพของพื้นที่เพื่อพัฒนาเป็นชุมชนเมืองใหม่ด้วยการก่อสร้างและพัฒนาระบบโครงสร้างพื้นฐานระบบสาธารณูปโภคและสาธารณูปการให้สามารถรองรับการขยายตัวของชุมชนที่เป็นผลมาจากการพัฒนาทางด้านอุตสาหกรรมโดยการดำเนินการก่อสร้างท่าเรือน้ำลึกระหว่างประเทศ นิคมอุตสาหกรรมเพื่อการส่งออก ก่อสร้างทางรถไฟสายท่าเรือแหลมฉบังเพื่อการเชื่อมต่อกับทางรถไฟสายท่าเรือกรุงเทพฯ – สัตหีบ และก่อสร้างอาคารเคหะชุมชนแหลมฉบัง ฯลฯ
ต่อมาในแผนพัฒนาเศรษฐกิจและสังคมแห่งชาติ ฉบับที่ 7 (พ.ศ. 2535 – 2539) ได้กำหนดให้พื้นที่แหลมฉบังเป็นเขตเศรษฐกิจใหม่ในพื้นที่บริเวณชายฝั่งทะเลตะวันออก และมีการตั้งองค์กรขึ้นมารับผิดชอบทำหน้าที่พัฒนาหรือสร้างชุมชนเมืองและบริการสาธารณะในเขตเมือง ซึ่งดำเนินการในลักษณะขององค์กรปกครองส่วนท้องถิ่นคือ เทศบาล
เทศบาลนครแหลมฉบัง ถูกจัดตั้งขึ้นเป็นเทศบาลตำบลตาม “พระราชกฤษฎีกาจัดตั้งเทศบาลตำบลแหลมฉบัง อำเภอศรีราชา และอำเภอบางละมุง จังหวัดชลบุรี พ.ศ. 2534” ซึ่งได้ประกาศในราชกิจจานุเบกษา เล่มที่ 108 ตอนที่ 211 ลงวันที่ 4 ธันวาคม 2534 มีผลบังคับใช้ตั้งแต่วันที่ 3 มกราคม 2535 โดยยกฐานะพื้นที่บางส่วนของสุขาภิบาลอ่าวอุดม (เดิม) อำเภอศรีราชา (ซึ่งประกอบด้วย 4 ตำบล 19 หมู่บ้าน คือ ตำบลทุ่งสุขลา หมู่ที่ 1 – 12 ตำบลบึง หมู่ที่ 1, 5, 9 และ 10 ตำบลสุรศักดิ์ หมู่ที่ 3, 9 และตำบลหนองขาม หมู่ที่ 11) และพื้นที่บางส่วนของสุขาภิบาลบางละมุง (เดิม) อำเภอบางละมุง (ซึ่งประกอบด้วย พื้นที่บางส่วนของตำบลบางละมุง จำนวน 5 หมู่บ้าน คือ หมู่ที่ 4, 6, 7, 8 และ 9) รวมเป็น 2 อำเภอ 5 ตำบล 24 หมู่บ้าน ด้วยเหตุผลที่ว่า "เนื่องจากพื้นที่ในตำบลทุ่งสุขลาและพื้นที่บางส่วนของตำบลสุรศักดิ์ ตำบลหนองขาม ตำบลบึง อำเภอศรีราชา และตำบลบางละมุง อำเภอบางละมุง จังหวัดชลบุรี เป็นพื้นที่ที่เป็นที่ตั้งของท่าเรือน้ำลึก อันเป็นท่าเรือพาณิชย์หลักของประเทศ ตลอดจนเป็นเขตพัฒนาอุตสาหกรรมและศูนย์พาณิชยกรรม เพื่อการส่งออกตามโครงการพัฒนาพื้นที่บริเวณชายฝั่งทะเลตะวันออก ตามแผนพัฒนาเศรษฐกิจและสังคมแห่งชาติ สมควรจัดตั้งท้องถิ่นในเขตพื้นที่ดังกล่าวเป็น เทศบาลตำบลแหลมฉบัง อำเภอศรีราชา และอำเภอบางละมุง จังหวัดชลบุรี เพื่อเป็นองค์กรการปกครองท้องถิ่นทำหน้าที่ควบคุมและบังคับใช้แผนพัฒนาเมือง ตลอดจนเป็นหน่วยงานที่จะให้บริการสังคมแก่ชุมชน และดำเนินกิจการของอุตสาหกรรมต่าง ๆ กับให้ประชาชนได้ปกครองดูแล และทำนุบำรุงท้องถิ่นของตนตามระบบเทศบาล"
ต่อมาเมื่อวันที่ 24 พฤษภาคม 2553 กระทรวงมหาดไทยได้ประกาศเปลี่ยนแปลงฐานะเทศบาลตำบลแหลมฉบัง อำเภอศรีราชา และอำเภอบางละมุง จังหวัดชลบุรี เป็นเทศบาลนครแหลมฉบัง โดยให้เหตุผลว่า เทศบาลมีราษฎรตั้งแต่ห้าหมื่นคนขึ้นไป ทั้งมีรายได้พอควรแก่การที่จะปฏิบัติหน้าที่อันต้องทำตามที่ได้กำหนดไว้ในพระราชบัญญัติเทศบาล พ.ศ. 2496
