ข้าพเจ้า นางสาววันวิสา อินกริ่น บัตรประจำตัวประชาชนเลขที่ 3600700048374 อยู่บ้านเลขที่ 71 หมู่ที่ 1 ถนนเทศบาลพัฒนา 2 ตำบลช่องแค อำเภอตาคลี จังหวัดนครสวรรค์ ซึ่งต่อไปในสัญญาเรียกว่า “ผู้จำนำ” ฝ่ายหนึ่ง ทำสัญญาฉบับนี้ให้ไว้ต่อ นายเกรแฮม มาร์เควส กรีเน่ สัญชาติ อเมริกา หนังสือเดินทางเลขที่ 213003680 นอร์ธแคโลไรน่า สหรัฐอเมริกา ซึ่งต่อไปในสัญญานี้เรียกว่า “ผู้รับจำนำ” อีกฝ่ายหนึ่ง ทั้งสองฝ่ายได้ตกลงทำสัญญาจำนำหุ้นของ บริษัท บริษัท สแป็งกี้ส์ เอ็นเตอร์เทนเม้นท์ จำกัด โดยมีข้อความดังต่อไปนี้
ข้อ 1.ผู้จำนำเป็นผู้ถือหลักทรัพย์ประเภท หุ้นสามัญ ของ บริษัท สแป็งกี้ส์ เอ็นเตอร์เทนเม้นท์ จำกัด ซึ่งต่อไปนี้เรียกว่า “บริษัท” จำนวน 13,200 หุ้น หมายเลขหุ้น 00001-09600 และ 15201-18800 มูลค่าหลักทรัพย์ที่ตราไว้ หุ้นละ 100 บาท ซึ่งได้ชำระค่าหลักทรัพย์เต็มมูลค่าแล้ว จำนวน 13,200 หุ้น จึงมีมูลค่ารวมทั้งสิ้น 1,320,000 บาท ซึ่งต่อไปนี้รวมเรียกว่า “หลักทรัพย์”
ข้อ 2.ผู้จำนำตกลงจำนำหลักทรัพย์ตามข้อ 1.ไว้กับผู้รับจำนำ เพื่อเป็นการประกันการชำระหนี้เงินกู้ที่ได้กู้ยืมไปจากผู้รับจำนำ จำนวน 1,320,000 บาท ในการนี้ให้ถือว่าผู้จำนำเป็นหนี้ผู้รับจำนำในขณะทำสัญญานี้ รวมทั้งอุปกรณ์แห่งหนี้ เช่น ดอกเบี้ย ค่าฤชาธรรมเนียมในการบังคับจำนำ จนกว่าผู้รับจำนำได้รับชำระหนี้ครบถ้วน
ข้อ 3.ในระหว่างที่การจำนำตามสัญญานี้ยังมีผลบังคับอยู่ ผู้จำนำ และ ผู้รับจำนำ ตกลงให้ดอกผลใดๆ อันเกิดจากหลักทรัพ์ที่จำนำ รวมทั้ง เงินปันผล ตกเป็นของผู้รับจำนำ
ข้อ 4.ผู้จำนำรับรองว่าหลักทรัพย์เป็นกรรมสิทธิของผู้จำนำอย่างสมบูรณ์ โดยปราศจากภาระผูกพันใดๆ นอกจากการจำนำตามสัญญานี้ และระหว่างที่สัญญาจำนำยังไม่ระงับสิ้นไป ผู้จำนำจะไม่โอนหรือก่อให้เกิดภาระผูกพันอย่างอื่นใดซึ่งหลักทรัพย์ หรือกระทำการใดๆ ให้เป็นที่เสื่อมเสียหายแก่ผู้รับจำนำ ไม่ว่าในทางใด วิธีใด และในเวลาใด
ข้อ 5.ในวันทำสัญญานี้ ผู้จำนำได้ส่งมอบหลักทรัพย์ให้แก่ผู้รับจำนำยึดถือหรือเก็บรักษาไว้ โดยผู้จำนำได้ปฏิบัติตามกฎหมายและข้อบังคับอันเกี่ยวกับการจำนำหลักทรัพย์ถูกต้องแล้ว และผู้จำนำตกลงทำหนังสือขอให้จดแจ้งการจำนำหลักทรัพย์ในสมุดทะเบียนผู้ถือหุ้นของบริษัท
ข้อ 6.หากผู้จำนำผิดนัดชำระหนี้ หรือประพฤติผิดสัญญา หรือไม่ปฏิบัติตามสัญญานี้ ไม่ว่าข้อหนึ่งข้อใด และไม่ว่าด้วยเหตุใด ผู้รับจำนำมีสิทธิเรียกให้ผู้จำนำชำระหนี้และบังคับจำนำหลักทรัพย์ได้ทันที
ข้อ 7.หนังสือหรือคำบอกกล่าวใดๆ ไม่ว่าจะเป็นคำบอกกล่าวทวงถามหนี้ คำบอกกล่าวบังคับจำนำ ซึ่งผู้รับจำนำได้ส่งให้แก่ผู้จำนำตามภูมิลำเนาของผู้จำนำซึ่งได้ระบุไว้ในสัญญานี้ไม่ว่าจะส่งโดยวิธีใดๆก็ตาม ให้ถือว่าผู้รับจำนำได้ส่งให้ผู้จำนำแล้วโดยชอบ และให้ถือว่าผู้จำนำได้รับทราบข้อความในคำบอกกล่าวนั้นโดยชอบเช่นเดียวกัน
ข้อ 8.หากผู้จำนำผิดนัดผิดสัญญา ผู้รับจำนำมีสิทธิบังคับชำระหนี้จากผู้จำนำ โดยไม่จำต้องเรียกให้ผู้จำนำชำระหนี้ก่อนหรือบังคับชำระหนี้เอากับทรัพย์สินของผู้จำนำก่อน
ทั้งสองฝ่ายได้อ่านและเข้าใจข้อความในสัญญาโดยตลอดดีแล้ว จึงได้ลงลายมือชื่อไว้เป็นสำคัญต่อหน้าพยานจำนวน 2 ฉบับ และเก็บต้นฉบับสัญญาไว้ฝ่ายละ 1 ฉบับ
