เมื่อห้างหุ้นส่วนเลิกให้จัดการชำระบัญชี เว้นแต่จะได้ตกลงกันให้จัดการทรัพย์สินโดยวิธีอื่นในระหว่างผู้เป็นหุ้นส่วนด้วยกัน หรือว่าห้างหุ้นส่วนนั้นศาลได้พิพากษาให้ล้มละลาย
