สัญญานี้ทำขึ้นระหว่าง ข้าพเจ้านางสาวสุขศิริ สุวรรณวิเศษกุล สัญชาติไทย อยู่บ้านเลขที่ 92 ซอยนวมินทร์ 90 แขวงรามอินทรา เขตคันนายาว กรุงเทพมหานคร ซึ่งต่อไปในสัญญานี้จะเรียกว่า “หุ้นส่วนที่ 1 “ กับข้าพเจ้า นายฟรานซีส เสร์ส อัมมันน์ (Mr.Francis Serge Amann) สัญชาติฝรั่งเศส อายุ 55 ปี อยู่บ้านเลขที่ 31 A Rue Principle 67117 Kurtigheim France ซึ่งต่อไปในสัญญานี้จะเรียกว่า “หุ้นส่วนที่ 2 ”
ทั้งสองฝ่ายตกลงทำสัญญาซื้อขายหุ้นกิจการ “ร้านเชอร์รี่ นวดแผนไทย แอนด์ เกสเฮ้าส์ ” (Cherry Thai Massage & Guesthouse) ฉบับนี้ขึ้น ซึ่งต่อไปในสัญญานี้จะเรียกว่า “ทรัพย์สิน” มีข้อความตามที่จะกล่าว ต่อไปนี้

ข้อ 1. ปัจจุบันหุ้นส่วนที่ ๑ เป็นเจ้าของกิจการร้านเชอร์รี่ นวดแผนไทย แอนด์ เกสเฮ้าส์ ตั้งอยู่ เลขที่ 26 ถนนพูลสุข ตำบลหัวหิน อำเภอหัวหิน จังหวัดประจวบคีรีขันธ์ แต่เพียงผู้เดียว ซึ่งทั้งสองฝ่ายตกลงกำหนดมูลค่าของทรัพย์สินเป็นเงิน 1,600,000 บาท (หนึ่งล้านหกแสนบาทถ้วน)
ในวันทำสัญญานี้ หุ้นส่วนที่ 1 ตกลงขาย และหุ้นส่วนที่ 2 ตกลงซื้อทรัพย์สินจำนวนร้อยละ 49 (49%)
กัน และตกลงร่วมกันดำเนินกิจการร้าน “เชอร์รี่ นวดแผนไทย แอนด์ เกสเฮ้าส์” ต่อไป
นับแต่วันทำสัญญานี้ ร้านเชอร์รี่ นวดแผนไทย แอนด์ เกสเฮ้าส์ จึงมีผู้เป็นหุ้นส่วนรวม 2 คน คือ
(1) นางสาวสุขศิริ สุวรรณวิเศษกุล ถือหุ้นจำนวนร้อยละ 51คิดเป็นเงิน816,000 บาท (แปดแสนหนึ่งหมื่นหกพันบาทถ้วน)
(2 ) นายฟรานซีส เสร์ส อัมมันน์ (Mr.Francis Serge Amann)ถือหุ้นจำนวนร้อยละ 49 คิดเป็นเงิน 784,000 บาท (เจ็ดแสนแปดหมื่นสี่พันบาทถ้วน)
ในวันทำสัญญานี้ หุ้นส่วนที่ 2 ได้ชำระเงินให้แก่หุ้นส่วนที่ 1 แล้วเป็นเงิน 784,000 บาท (เจ็ดแสนแปดหมื่นสี่พันบาทถ้วน)
ข้อ 2. การจัดการ ดูแล การบริหาร การจัดทำบัญชี ให้เป็นหน้าที่ของหุ้นส่วนที่ 1 ส่วนหุ้นส่วนที่ 2 มีสิทธิทักท้วงการจัดการใดๆ ของหุ้นส่วนที่ 1 และกรณีที่หุ้นส่วนคนใดฝ่าฝืนต่อคำทักท้วงของอีกฝ่ายหนึ่ง และเกิดความเสียหายขึ้น หุ้นส่วนคนนั้นต้องรับผิดชอบเป็นการส่วนตัว
ให้หุ้นส่วนที่ 1 มีค่าตอบแทนการจัดการดูแล บริหารกิจการในอัตราเดือนละ 10,000 บาท (หนึ่งหมื่นบาทถ้วน)



ข้อ 3. ทั้งสองฝ่ายมีหน้าที่ร่วมกันตรวจสอบบัญชีรายรับรายจ่ายกันทุกเดือน และให้ถือเอา ให้ถือวันที่ 15 มกราคม ของทุกปี เป็นวันสิ้นรอบทางบัญชี
ข้อ 4. ในการจัดสรรเงินกำไร หรือขาดทุน ระหว่างผู้เป็นหุ้นส่วนด้วยกันให้ถือตามอัตราส่วนจำนวนหุ้นแต่ละฝ่าย
ข้อ 5. หากหุ้นส่วนผู้ใดประพฤติผิดสัญญานี้แม้แต่ข้อใดข้อหนึ่ง หุ้นส่วนอื่นมีสิทธิที่จะฟ้องร้องเรียกค่าเสียหายจากผู้ที่กระทำผิดสัญญานี้ได้ทันที
ข้อ 6. ในกรณีที่กิจการไม่สามารถจะดำเนินการต่อไปได้อีกแล้วนั้น ไม่ว่าด้วยเหตุใดๆ ให้ความเป็นหุ้นส่วนเลิกกัน โดยการชำระบัญชีให้นำเอาทรัพย์สินทั้งหมดที่มีอยู่คืนแก่หุ้นส่วนที่นำทรัพย์สินมาลงหุ้นก่อน หากมีกำไรเหลืออยู่จึงให้แบ่งปันตามอัตราส่วนของแต่ละฝ่าย
ข้อ 7. หากหุ้นส่วนที่ 2 เสียชีวิตลงขณะที่สัญญานี้มีผมใช้บังคับ ให้หุ้นของหุ้นส่วนที่ 2 เป็นมรดกตกทอดแก่ทายาท ดังนี้

ข้อ 8. ข้อพิพาทอันเกิดจากสัญญานี้ คู่สัญญาตกลงให้ดำเนินกระบวนพิจารณาของศาลจังหวัดหัวหิน

สัญญานี้จัดทำเป็น 2 ฉบับ มีข้อความตรงกัน ผู้เป็นหุ้นส่วนต่างยึดถือไว้คนละหนึ่งฉบับ ทั้งสองฝ่ายได้ทราบข้อความในสัญญานี้ดีตลอดแล้ว จึงได้ลงลายมือชื่อให้ไว้เป็นสำคัญต่อหน้าพยาน
