สัญญาฉบับนี้ทำขึ้นระหว่าง ศ.ดร.วรเดช จันทรศร ถือบัตรประจำตัวประชาชนเลขที่ 3 100 602861 95 4 อยู่บ้านเลขที่ 79/89 ถนนรามคำแหง 150 แขวงสะพานสูง เขตสะพานสูง กรุงเทพมหานคร ซึ่งต่อไปในสัญญานี้เรียกว่า “ตัวแทนผู้ขาย” ฝ่ายหนึ่ง กับ
นายสุทธิกร เจียรไพฑูรย์ บัตรประจำตัวประชาชนเลขที่ ........................................................................ ที่อยู่........................................................................................................................................................................................... ซึ่งต่อไปในสัญญานี้เรียกว่า “ผู้ซื้อ” อีกฝ่ายหนึ่ง

ทั้งสองฝ่ายได้ตกลงทำสัญญากันดังมีข้อความต่อไปนี้
ข้อ 1. ตัวแทนผู้ขายให้คำรับรองและยืนยันต่อผู้ซื้อว่า ตัวแทนผู้ขายได้รับแต่งตั้งและมอบหมายจากคณะกรรมการและผู้ถือหุ้นของบริษัท โอเอไอ เอ็ดดูเคชั่น จำกัด ให้เป็นผู้รับผิดชอบในการดำเนิการจัดการให้มีการขายหุ้นบริษัท โอเอไอ เอ็ดดูเคชั่น จำกัด ซึ่งเป็นเจ้าของและเป็นผู้ที่ได้รับใบอนุญาตให้เป็นผู้ดำเนินการบริหารและจัดการ สถาบันการศึกษาชื่อ “มหาวิทยาลัยชินวัตร” บนเนื้อที่ดินดังกล่าว ตั้งอยู่เลขที่ 99 หมู่ 10 ตำบลบางเตย อำเภอสามโคก จังหวัดปทุมธานี 12160 เนื้อที่ประมาณ 300 ไร่ บนที่ดินโฉลดเลขที่ 24271 เล่ม 243 หน้า 71 เลขที่ดิน 181 หน้าสำรวจ 5036 เป็นจำนวนเงิน 2200 ล้านบาท (สองพันสองร้อยล้านบาท)

ข้อ 2 ผู้ซื้อตกลงยินยอมชำระเงินมัดจำให้กับเจ้าของบริษัทโอเอไอ เอ็ดดูเคชั่น จำกัด ในอัตราร้อยละ 10 ของราคาซื้อขายเป็นจำนวน 220 ล้านบาท (สองร้อยยี่สิบล้านบาท) โดยสั่งจ่ายชื่อ...........................................................

ข้อ 3 หลังจากผู้ซื้อได้มีการชำระเงินมัดจำเป็นที่เรียบร้อย ผู้ขายยินยอมให้ผู้ซื้อเข้ามาดำเนินการตรวจสอบภายในมหาวิทยาลัยชินวัตรภายใน 90 วัน นับตั้งแต่วันทำสัญญาฉบับนี้ หากพ้นกำหนดเวลาดังกล่าว ผู้ขายจะยึดเงินค่ามัดจำโดยไม่ต้องแจ้งล่วงหน้า
ข้อ 4 เมื่อผู้จะซื้อได้ชำระเงิน (ในกรณีจ่ายเป็นเช็คต้องได้รับเงินตามเช็คนั้นเรียบร้อยก่อน) ให้แก่ ผู้จะขายจนครบตามสัญญาแล้ว ผู้จะซื้อจึงจะเข้าครอบครองที่ดินพร้อมสิ่งปลูกสร้างตามสัญญาได้
ข้อ 5 หากผู้จะซื้อผิดสัญญาข้อใดข้อหนึ่ง ผู้จะขายมีสิทธิที่จะบอกเลิกสัญาและริบเงินที่ผู้จะซื้อได้ชำระได้แก่ผู้จะขายแล้วทั้งหมด
ข้อ 6 สัญญานี้ยกเลิกข้อตกลง และสัญญาอื่นใดที่อาจมีมาก่อนระหว่างคู่สัญญา ทั้งสองฝ่ายจะไม่ถือข้อกล่าวอ้างด้วยวาจาและข้อความโฆษณาใด ๆ เป็นส่วนหนึ่งของสัญญานี้
