แนวคิดในการจัดตั้งองค์กรมหาชน
องค์การมหาชนเป็นหน่วยงานของรัฐรูปแบบใหม่ที่จัดตั้งขึ้นเพื่อรองรับภารกิจของรัฐ ในการบริการสาธารณะรูปแบบอื่นนอกเหนือไปจากส่วนราชการและรัฐวิสาหกิจ โดยการยอมรับความ เป็นจริงว่า การจำแนกองค์กรจัดทำบริการสาธารณะไว้เพียงสองประเภทมีข้อจำกัดและเป็นอุปสรรค อย่างมากสำหรับงานบริการสาธารณะบางประเภทที่ต้องการความคล่องตัวในการดำเนินงานสูง และ เป็นภารกิจที่มิได้มีลักษณะของการดำเนินการในเชิงพาณิชย์ ที่มุ่งหากำไรหรือสามารถหารายได้

ด้วยเหตุนี้ การจัดทำบริการสาธารณะสมัยใหม่ข้างต้นจึงไม่เหมาะสมกับการดำเนินงานในรูปส่วนราชการและรัฐวิสาหกิจ แต่เงื่อนไขที่จำเป็นที่จะทำให้การดำเนินภารกิจบรรลุวัตถุประสงค์ได้ จะได้แก่ ความคล่องตัว สายการบังคับบัญชาที่สั้น ได้รับงบประมาณสนับสนุนที่เพียงพอจากรัฐ มีองค์กรบริหารที่มีสามารถตัดสินใจในเรื่องต่าง ๆ ได้ด้วยตนเอง

ฉะนั้น จากข้อจำกัดข้างต้น จึงก่อให้เกิด การจัดตั้งองค์กรมหาชนเพื่อนำมาใช้เป็นเครื่องมือในการให้บริการสาธารณะประเภทหนึ่ง โดยมิได้ค้ากำไรจากการบริการ มีลักษณะเป็นการดำเนินงานในแบบองค์กรธุรกิจที่สามารถใช้ประโยชน์ทรัพยากรให้มีประสิทธิภาพสูงสุด การกำกับดูแลองค์การมหาชน
โดยหลักการรัฐมนตรีผู้รักษาการตามกฎหมายจัดตั้ง จะมีความสัมพันธ์กับองค์การ มหาชน ซึ่งมีความแตกต่างจากส่วนราชการ กล่าวคือ จะกำหนดบทบาทของรัฐมนตรีที่มีต่อองค์การ มหาชนในลักษณะของการกำกับดูแล มิใช่การบังคับบัญชาส่วนราชการอย่างที่กำหนดไว้ใน พระราชบัญญัติระเบียบบริหารราชการแผ่นดิน กล่าวคือ พระราชบัญญัติองค์การมหาชน พ.ศ. 2542 มาตรา 43 กำหนดให้รัฐมนตรีผู้รักษาการเป็นผู้มีหน้าที่ความรับผิดชอบโดยตรงในการกำกับดูแล องค์การมหาชนให้ดำเนินการบรรลุความสำเร็จตามเจตนารมณ์ของการจัดตั้งองค์การมหาชนนั้น ๆ
