ทั้งสองฝ่ายได้ตกลงทำสัญญากันมีข้อความดังต่อไปนี้

ข้อ 1. งานที่ว่าจ้าง
ผู้ว่าจ้างตกลงจ้างผู้รับจ้างและผู้รับจ้างตกลงรับจ้างงานก่อสร้างและดัดแปลงอาคาร โครงการ KORAT BEVERAGE FACTORY PROJECT ซึ่งตั้งอยู่เลขที่ 335 ถ.ราชสีมา-โชคชัย ต.หนองระเวียง อ.เมือง จ.นครราชสีมา 30000 ซึ่งต่อไปในสัญญานี้เรียกว่า “สถานที่” ให้ถูกต้องตามแบบแปลนและรายละเอียดที่ผู้ว่าจ้างกำหนดไว้ในขอบข่ายงาน แบบแปลน รายละเอียดประกอบแบบแปลน ตามเอกสารประกอบสัญญา ที่แนบท้ายสัญญานี้ ซึ่งถือเป็นส่วนหนึ่งของสัญญานี้ด้วย และ/หรือ ตามรายการที่จะได้มีการแก้ไขขึ้นใหม่โดยได้รับความยินยอมเป็น ลายลักษณ์อักษรของคู่สัญญาทั้งสองฝ่ายแล้ว โดยการก่อสร้างดัดแปลงดังกล่าวรวมถึงแต่ไม่จำกัดเพียง
(i) งานก่อสร้าง/ปรับปรุง/ดัดแปลงอาคาร KORAT BEVERAGE FACTORY 7
(ii) งานก่อสร้าง/ปรับปรุง/ดัดแปลงห้องน้ำ อาคารส่วนอำนวยประโยชน์ต่องานระบบประกอบอาคาร และอื่นๆ ได้แก่ พื้นที่สำนักงาน ห้องประชุม ห้องสำนักงานส่วนผลิตภัณฑ์ ห้องปฏิบัติการแล็ปตรวจคุณภาพ ฯลฯ
(ต่อไปในสัญญานี้เรียกว่า “งานที่ว่าจ้าง”)
ข้อ 2. เอกสารประกอบ
เอกสารประกอบสัญญา มีรายการดังต่อไปนี้

ในกรณีที่ข้อความในเอกสารประกอบสัญญาดังกล่าวขัดหรือแย้งกับสัญญาฉบับนี้ และ/หรือ ขัดหรือแย้งกับเอกสารประกอบสัญญากันเอง ให้ผู้ว่าจ้างเป็นผู้วินิจฉัยชี้ขาดและให้ถือว่าคำวินิจฉัยของผู้ว่าจ้างเป็นที่สุด

ข้อ 3. ค่าจ้าง
3.1) คู่สัญญาทั้งสองฝ่ายกำหนดราคาค่าจ้างเป็นจำนวนเงินรวมทั้งสิ้น ……………….. บาท (………………………………….) ซึ่งเป็นราคาที่ยังไม่รวมภาษีมูลค่าเพิ่ม ต่อไปในสัญญานี้เรียกว่า “ค่าจ้าง” โดยเงินค่าจ้างจำนวนดังกล่าว รวมค่าวัสดุ แรงงาน เครื่องมือ เครื่องใช้ และ อุปกรณ์ที่ใช้ในการทำงานที่ว่าจ้างตามข้อ 1. ตามชนิด ขนาด จำนวนและคุณภาพดังที่ระบุไว้ในใบเสนอราคาและตารางแสดงปริมาณราคา (Quotation and Bill of Quantities) ภาคผนวก ก. เอกสารแนบท้ายสัญญานี้
3.2) ผู้รับจ้างตกลงส่งมอบงานที่ว่าจ้างให้ผู้ว่าจ้างตามที่กำหนดไว้ในภาคผนวก ข.
3.3) ภายใต้เงื่อนไขที่กำหนดในข้อ 3.4 ผู้ว่าจ้างตกลงชำระค่าจ้างตามผลงานแต่ละงวดตามที่ระบุไว้ในภาคผนวก ก. โดยผู้รับจ้างจะต้องส่งใบเรียกเก็บเงินให้แก่ผู้ว่าจ้างภายในทุกวันที่ ........ (.........) ของเดือนที่ส่งมอบงานในงวดนั้นๆ และผู้ว่าจ้างจะชำระค่าจ้างให้แก่ผู้รับจ้าง ภายในวันที่ ........ (.........) ของเดือนถัดไป
3.4) ในการชำระค่าจ้างตามกำหนดภาคผนวก ก. ผู้ว่าจ้างจะชำระค่าจ้างหลังจากที่ผู้รับจ้างได้ส่งมอบงานแต่ละงวด และผู้ควบคุมงานของผู้ว่าจ้างตามที่ระบุในข้อ 7. ได้ตรวจแล้วว่างานที่ส่งมอบถูกต้องและครบถ้วนตามที่กำหนดไว้ในสัญญา โดยผู้รับจ้างตกลงให้ผู้ว่าจ้างหักเงินประกันจำนวนร้อยละ 5 จากค่าจ้างที่ได้ชำระแต่ละงวด (“เงินประกัน”) และผู้ว่าจ้างจะคืนเงินประกันทั้งหมดหรือบางส่วน (ในกรณีที่ผู้ว่าจ้างใช้สิทธิหักเงินประกัน เนื่องจากผู้รับจ้างต้องรับผิดชอบต่อความเสียหายหรือความรับผิดใดๆ ที่เกิดขึ้นภายใต้สัญญานี้) ให้แก่ผู้รับจ้างเมื่อผู้ว่าจ้างได้ตรวจรับงานทั้งหมดจนเป็นที่พอใจของผู้ว่าจ้างแล้ว
3.5) ในกรณีที่มีการเปลี่ยนแปลงแบบ และ/หรือ มีการเพิ่มหรือลดงานที่ว่าจ้าง อันมีผลให้ค่าจ้างตามสัญญาเปลี่ยนแปลงไปนั้น ก่อนจะมีการดำเนินการทำงานที่ว่าจ้างในส่วนที่เปลี่ยนแปลง และ/หรือ เพิ่มหรือลดงานที่ว่าจ้าง คู่สัญญาจะต้องตกลงเรื่องราคาผลต่างให้เป็นที่แน่นอนเป็นลายลักษณ์อักษรลงลายมือชื่อคู่สัญญาทั้งสองฝ่ายเป็นสำคัญ ราคาที่ตกลงกันตามข้อนี้ให้ถือเป็นส่วนหนึ่งของค่าจ้างตามสัญญาด้วย ทั้งนี้ เอกสาร หรือแบบงาน หรือข้อตกลงบันทึกใดๆ เกี่ยวกับการตกลงเรื่องราคาค่าจ้างนั้นให้ถือเป็นส่วนหนึ่งของสัญญานี้ด้วย

ข้อ 4. ระยะเวลาของการทำงานที่ว่าจ้าง
4.1) ผู้รับจ้างได้เริ่มทำงานที่ว่าจ้างตั้งแต่วันที่ …………………………… (“วันเริ่มต้นทำงาน”) และจะต้องดำเนินการให้แล้วเสร็จภายในวันที่ ……………………. (“กำหนดเวลา”) โดยการทำงานที่ว่าจ้างให้เป็นไปตามสัญญาฉบับนี้ ทั้งนี้ ณ วันเริ่มต้นทำงาน
4.2) ในกรณีที่มีเหตุจำเป็นต้องเปลี่ยนแปลงแบบของงานที่ว่าจ้างตามสัญญานี้ โดยมิใช่ความผิดของผู้ว่าจ้าง และเป็นเหตุให้ผู้รับจ้างต้องใช้ระยะเวลาในการทำงานมากขึ้นกว่ากำหนดเวลาที่กำหนดไว้ คู่สัญญาอาจตกลงยินยอมให้ขยายกำหนดเวลาออกไปตามสมควรแก่เหตุแห่งการณ์นั้น โดยทำข้อตกลงเป็นหนังสือลงลายมือชื่อคู่สัญญาทั้งสองฝ่ายเป็นสำคัญ และให้ถือเวลาที่ขยายออกไปเป็นการกำหนดเวลาขึ้นใหม่
4.3) ในกรณีที่เกิดเหตุสุดวิสัยใดๆ ที่ไม่อาจหลีกเลี่ยงได้ และเป็นเหตุให้การทำงานที่ว่าจ้างต้องหยุดชะงักลง ทำให้ผู้รับจ้างไม่สามารถส่งมอบงานตามกำหนดเวลาโดยมิใช่ความผิดของผู้รับจ้าง ผู้ว่าจ้างอาจยอมให้ผู้รับจ้างขยายระยะเวลาการก่อสร้างออกไปตามสมควรแก่เหตุการณ์ โดยผู้รับจ้างจะต้องแจ้งเหตุดังกล่าวพร้อมหลักฐานเป็นหนังสือให้ผู้ว่าจ้างทราบเพื่อขอขยายกำหนดเวลาตามสัญญาออกไปภายในกำหนด 7 (เจ็ด) วัน นับแต่วันที่เหตุนั้นเริ่มต้นขึ้น หากผู้รับจ้างไม่ปฏิบัติตามหลักเกณฑ์ที่ระบุไว้ข้อนี้ให้ถือว่าผู้รับจ้างได้สละสิทธิในการที่จะขอขยายกำหนดเวลาตามสัญญาโดยไม่มีเงื่อนไขใดๆ ทั้งสิ้น
เพื่อประโยชน์แห่งข้อสัญญานี้ “เหตุสุดวิสัย” หมายถึง เหตุใดๆ อันจะเกิดขึ้นก็ดี จะให้ผลพิบัติก็ด
