The Service Provider shall exercise

The Service Provider shall exercise reasonable skill, care and diligence, as normally employed by professional property managers while performing services under this Contract.
The Service Provider agrees to fully indemnify and hold harmless Ideal 24 Juristic Person, its Juristic Person Manager, Committee Members, Co-Owners and other service providers from and against all costs and expenses resulting from or relating in any way to actions or claims made against or incurred by Ideal 24 Juristic Person, which arise directly or indirectly from any act or omission to act, negligence, pilferage or willful misconduct of the Service Provider, its delivery employees, assigned persons, agents or servants, in performance of obligations and which cause damage to Ideal 24 Juristic Person, its Juristic Person Manager, Committee Members, Co-Owners, and other service providers
