บันทึกข้อตกลงนี้ทำขึ้นระหว่าง บริษัท ทรู ลีสซิ่ง จำกัด สำนักงานตั้งอยู่เลขที่18 อาคารทรู ทาวเวอร์ ถนนรัชดาภิเษก แขวงห้วยขวาง เขตห้วยขวาง กรุงเทพมหานคร ซึ่ง ต่อไปในบันทึกข้อตกลงนี้เรียกว่า “ผู้ให้เช่า” ฝ่ายหนึ่ง กับ
บริษัท เอก-ชัย ดีสทริบิวชั่น ซิสเทม จำกัด สำนักงานตั้งอยู่เลขที่ 629/1 ถนนนวมินทร์ แขวงนวลจันทร์ เขตบึงกุ่ม กรุงเทพมหานคร ซึ่งต่อในบันทึกข้อตกลงนี้เรียกว่า “ผู้เช่า” ฝ่ายหนึ่ง
โดยทั้งสองฝ่ายได้ทำข้อตกลงไว้ดังต่อไปนี้
ข้อ 1. ตามที่ผู้เช่าได้ทำสัญญาเช่ารถยนต์กับผู้ให้เช่า ไปจำนวนหลายคัน รายละเอียดตามสัญญาเช่ารถยนต์ฉบับลงวันที่ 1 มีนาคม 2552 นั้น เมื่อสัญญาเช่ารถยนต์ได้สิ้นสุดลง ผู้เช่าส่งคืนรถเช่าล่าช้า และทำอุปกรณ์ประจำรถสูญหายไม่สามารถส่งคืนอุปกรณ์ประจำรถให้ ผู้ให้เช่าได้ครบถ้วน ทำให้ ผู้ให้เช่าได้รับความเสียหาย ผู้ให้เช่า ได้ทำหนังสือแจ้งให้ผู้เช่า ชดใช้ค่าเสียหาย เป็นเงิน จำนวน 160,663.15 บาท (หนึ่งแสนหกหมื่นหกร้อยหกสิบสามบาทสิบห้าสตางค์) รายละเอียดตามหนังสือเลขที่ CAD.1388/2558 ลงวันที่ 29 ตุลาคม 2558
ข้อ 2. ตามเรื่องดังกล่าวในข้อ1.คู่สัญญาทั้งสองฝ่ายได้เจรจาตกลงกัน และสามารถตกลงกันได้ กล่าวคือ ผู้ให้เช่า จะไม่เรียกร้อง หรือฟ้องร้อง เรียกค่าเสียหาย ค่าปรับคืนรถล่าช้า และค่าอุปกรณ์ประจำรถที่สูญหายจากผู้เช่าอีกต่อไป และผู้เช่า ตกลงจะไม่เรียกร้องหรือฟ้องร้องเรียกค่าเสียหายใดๆจากผู้ให้เช่า โดยทั้งสองฝ่ายตกลงยุติคดี จะไม่ฟ้องคดีที่เกี่ยวกับสัญญาเช่ารถยนต์ต่อกัน นับตั้งแต่วันทำบันทึกข้อตกลงนี้เป็นต้นไป

บันทึกข้อตกลงฉบับนี้ทำขึ้นเป็นสองฉบับ มีข้อความถูกต้องตรงกัน คู่สัญญาได้อ่านและเข้าใจข้อความในบันทึกข้อตกลงโดยละเอียดตลอดแล้ว จึงลงลายมือชื่อไว้เป็นสำคัญต่อหน้าพยาน และคู่สัญญาต่างยึดถือไว้ฝ่ายละฉบับ
