1. คู่สัญญา
บันทึกนี้ทำขึ้น ระหว่าง นาย ภาคภูมิ ชัตไพบูลย์ อายุ 44 ปี บัตรประจำตัวประชาชน เลขที่ 3100904775228
อยู่ที่ 8 หมู่ที่ ชั้นที่ - อาคาร - ซอย อ่อนนุช 38 ถนน - ตำบล/แขวง สวนหลวง อำเภอ/เขต สวนหลวง จังหวัด กรุงเทพมหานคร ซึ่งต่อไปในบันทึกนี้จะเรียกว่า “ผู้ขาย” ฝ่ายหนึ่ง
กับ ระหว่าง นายพนมกร นิจถาวร อายุ - ปี บัตรประจำตัวประชาชนเลขที่ 3100400671470 อยู่ที่ 566/89 หมู่ที่ - ชั้นที่ - อาคาร - ซอย - ถนน พระรามที่ 4 ตำบล/แขวง มหาพฤฒาราม อำเภอ/เขต บางรัก จังหวัด กรุงเทพมหานคร ซึ่งต่อไปในบันทึกนี้จะเรียกว่า “ผู้ซื้อ” อีกฝ่ายหนึ่ง

2. ทรัพย์สินที่จะซื้อขาย
คู่สัญญาทั้งสองฝ่ายตกลงซื้อขายกรรมสิทธิ์อาคารชุด ศุภาลัย ปาร์ค เอกมัย-ทองหล่อ ห้องชุดเลขที่ ES3416 ชั้นที่ 34 เนื้อที่ 54.65 ตร.ม โดยตกลงซื้อขายที่ราคา 3,300,000 บาท (สามล้านสามแสนบาทถ้วน) ซึ่งเป็นราคาหลังหักส่วนลดวันโอน 260,000 บาทแล้ว และเป็นราคาตามหน้าสัญญาที่ไม่รวมพื้นที่เพิ่ม ลด

3. การชำระเงิน
3.1 ผู้ซื้อชำระเงินมัดจำให้กับผู้ขาย เป็นจำนวนเงิน 100,000 บาท (หนึ่งแสนบาทถ้วน) โดยชำระเป็นเงินสด ในวันที่เซ็นสัญญานี้
3.2 ผู้ซื้อจะชำระเงินดาวน์ส่วนที่เหลือให้กับผู้ขาย เป็นจำนวนเงิน 453,612 บาท ( สี่แสนห้าหมื่นสามพันหกร้อยสิบสองบาทถ้วน) และผู้ขายจะเซ็นโอนสิทธิ์เปลี่ยนชื่อใน “หนังสือขออนุญาตโอนสัญญาของศุภาลัย” ในวันจดทะเบียนโอนกรรมสิทธิ์ทรัพย์สินกับ บจก. ศุภาลัย ที่กรมที่ดิน ซึ่งมีกำหนดระยะเวลาภายในวันที่ 14 สิงหาคม พ.ศ. 2558
3.3 ยอดโอนเข้าธนาคารหักส่วนลดวันโอนแล้ว เป็นจำนวนเงิน 2,737,600 บาท (สองล้านเจ็ดแสนสามหมื่นเจ็ดพันหกร้อยบาทถ้วน) ผู้ซื้อจะชำระให้ บจก. ศุภาลัย ในวันจดทะเบียนโอนกรรมสิทธิ์ทรัพย์สินกับ บจก. ศุภาลัย ที่กรมที่ดิน

4. กรณีผิดสัญญา
4.1 ในกรณีผู้ซื้อผิดสัญญา ไม่ชำระเงินดาวน์ส่วนที่เหลือในข้อ 3.2 ให้กับผู้ขาย ภายในวันที่ 14 สิงหาคม พ.ศ. 2558 หรือยกเลิกการซื้อ โดยเหตุยกเลิกนั้นไม่ได้เกิดจากผู้ขายหรือบมจ. ศุภาลัย แต่เหตุเกิดจากผู้ซื้อเอง ผู้ซื้อยินยอมให้ผู้ขายบอกเลิกสัญญาและริบเงินมัดจำทั้งหมดที่วางไว้ให้ผู้ขายในข้อ 3.1 โดยไม่มีสิทธิที่จะเรียกร้องค่าเสียหายใดๆ ทั้งสิ้น
4.2 ในกรณีที่ผู้ขายผิดสัญญายกเลิกการขาย โดยเหตุยกเลิกนั้นไม่ได้เกิดจากผู้ซื้อหรือบมจ. ศุภาลัย แต่เหตุเกิดจากผู้ขายเอง ผู้ขายยินยอมคืนเงินมัดจำทั้งหมดในข้อ 3.1 ให้กับผู้ซื้อ โดยไม่มีสิทธิที่จะเรียกร้องค่าเสียหายใดๆ ทั้งสิ้น
4.3 ในกรณีที่บมจ. ศุภาลัย ไม่ให้ส่วนลดวันโอนเป็นจำนวนเงิน 260,000 บาท (สองแสนหกหมื่นบาทถ้วน) ผู้ซื้อมีสิทธิ์บอกเลิกสัญญา และผู้ขายยินยอมคืนเงินมัดจำทั้งหมดในข้อ 3.1 ให้กับผู้ซื้อ โดยไม่มีสิทธิที่จะเรียกร้องค่าเสียหายใดๆ ทั้งสิ้น
