บริษัท สายการบินนกแอร์ จำกัด (มหาชน) (“บริษัท” หรือ “นกแอร์”) หรือเดิมชื่อ บริษัท สกายเอเชีย จำกัด ก่อตั้งเมื่อ
วันที่ 27 กุมภาพันธ์ 2547 เพื่อประกอบกิจการค้าขายในการเดินอากาศแบบประจำมีกำหนดและแบบไม่ประจำเป็นครั้ง
คราว บริษัทถูกจัดตั้งขึ้นเมื่อรัฐบาลมีนโยบายเปิดเสรีทางการบิน ภายใต้แนวคิดที่จะให้เป็นสายการบินต้นทุนต่ำ (Low-
Cost Airline) ในเครือ บริษัท การบินไทย จำกัด (มหาชน) (“การบินไทย”) เพื่อแข่งขันกับสายการบินต้นทุนต่ำอื่น ๆ
และรักษาความสามารถในการแข่งขัน ประกอบกับการที่การบินไทยเห็นว่าตลาดสายการบินต้นทุนต่ำมีอัตราการเติบโต
สูง อีกทั้ง โครงสร้างการบริหารธุรกิจ ทรัพยากรบุคคล และการบริหารต้นทุนของการบินไทยไม่เหมาะสมกับการเข้า
ดำเนินธุรกิจในส่วนการตลาดนี้โดยตรง การบินไทยจึงมีนโยบายให้การสนับสนุนนกแอร์ และเข้าร่วมเป็นหนึ่งในผู้จัดตั้ง
นกแอร์โดยถือหุ้นในสัดส่วนร้อยละ 39.0
อย่างไรก็ดี ในปี 2554 บริษัทได้มีการเปลี่ยนแปลงโครงสร้างผู้ถือหุ้นครั้งสำคัญ กล่าวคือ เมื่อเดือนตุลาคม 2554 กลุ่ม
ผู้บริหารระดับสูงของบริษัท ร่วมกับกองทุน Lombard Asia III L.P. โดย บริษัท Aviation Investment International
จำกัด ได้เข้าซื้อหุ้นจากผู้ถือหุ้นเดิมรวมร้อยละ 25.0 อีกทั้ง ในเดือนธันวาคม 2554 การบินไทยได้เข้าซื้อหุ้นเพิ่มเติม
ร้อยละ 10.0 รวมกับหุ้นที่ถืออยู่เดิมเป็นร้อยละ 49.0 ซึ่งภายหลังการเปลี่ยนแปลงโครงสร้างครั้งดังกล่าวทำให้
โครงสร้างผู้ถือหุ้นของนกแอร์ถูกแบ่งเป็นสองกลุ่มสำคัญอย่างชัดเจน คือกลุ่มผู้บริหารและการบินไทย ซึ่งเป็นการแสดง
ถึงความตั้งใจอย่างแน่วแน่ของทั้งสองกลุ่มผู้ถือหุ้นที่จะร่วมกันพัฒนาบริษัทให้เติบโตอย่างยั่งยืนต่อไปในอนาคต
ปัจจุบัน นกแอร์จัดเป็นสายการบินราคาประหยัด (Budget Airline หรือ Low-Cost Airline) ที่ให้บริการขนส่งทางอากาศ
ซึ่งครอบคลุมเส้นทางการบินมากที่สุดในประเทศไทย โดย ณ วันที่ 31 มีนาคม 2556 นกแอร์ให้บริการเที่ยวบินทั้งหมด
23 เส้นทางการบิน ซึ่งครอบคลุมทั้งหมด 21 จุดหมายปลายทางและมีเที่ยวบินทั้งสิ้น 483 เที่ยวบินต่อสัปดาห์
สำหรับด้านการดำเนินงานนั้น นกแอร์ให้บริการขนส่งทางอากาศในลักษณะจุดต่อจุดและไม่มีบริการเชื่อมต่อ (Point to
Point) โดยใช้เครื่องบินแบบทางเดินเดียว (Single Aisle) ซึ่งสามารถให้บริการเส้นทางบินในรัศมีประมาณ 4 ชั่วโมง
จากศูนย์ปฏิบัติการบิน ซึ่งครอบคลุมตลาดในภูมิภาคเอเชียตะวันออกเฉียงใต้และประเทศจีนบางส่วน ทั้งนี้ ในปัจจุบัน
บริษัทให้บริการเที่ยวบินทั้งจากฐานปฏิบัติการหลักที่ท่าอากาศยานนานาชาติดอนเมืองและฐานการปฎิบัติการย่อยที่ท่า
อากาศยานนานาชาติเชียงใหม่ไปยังท่าอากาศยานภูมิภาคอื่นๆ โดยมุ่งเน้นให้บริการเที่ยวบินทั้งในเส้นทางที่มีความ
ต้องการทางการบินหนาแน่นอย่างเส้นทางการบินสายหลัก1 และเส้นทางการบินที่มีความต้องการทางการบินไม่มากนัก
ในปัจจุบัน แต่คาดว่าจะความต้องการทางการบินสูงขึ้นในอนาคตอย่างเส้นทางการบินสายรอง1และเส้นทางการบินสาย
ย่อย1เพื่อให้สอดคล้องกับกลยุทธ์ในการแข่งขันของบริษัทว่าด้วยการให้บริการเส้นทางการบินที่ครอบคลุมมากที่สุดใน
ประเทศไทย
นอกจากบริการขนส่งทางอากาศแบบประจำ นกแอร์ยังให้บริการเสริมกับผู้โดยสารที่เดินทางโดยเที่ยวบินแบบประจำ
ของบริษัท ได้แก่ การเปลี่ยนแปลงเที่ยวบินหรือวันเดินทาง บริการขนส่งสัมภาระน้ำหนักเกิน บริการขนส่งสินค้า
