บันทึกข้อตกลง

1.ผู้ซื้อตกลงซื้อหุ้นทั้งหมดของบริษัทพร้อมทั้งสิทธิตามหนังสือรับซื้อไฟฟ้า(PPA) จำนวน 195 โครงการ รวมถึงตกลงชำระเงินค่าดำเนินการรวมเป็นเงินทั้งหมด 4,582,500,000 บาท

2.ผู้ซื้อต้องชำระเงินค่าหุ้นให้กับบริษัท เมตตาพาณิชย์ เซอร์วิส จำกัด รวมเป็นเงินจำนวน 1,267,500,000 บาท โดยแบ่งชำระดังนี้
2.1 ชำระเงินงวดแรกจำนวน 20,000,000 บาท ในวันที่มีมติจากคณะกรรมการ
2.2 ชำระเงินจำนวนส่วนที่เหลือ 1,247,500,000 บาท ในวันที่บริษัท เมตตาพาณิชย์ เซอร์วิส จำกัด ได้เข้าทำสัญญารับซื้อไฟฟ้ากับ การไฟฟ้าส่วนภูมิภาค พร้อมทั้งโอนหุ้นจำนวน 100 % ให้กับผู้ซื้อ

3.ผู้ซื้อตกลงจ่ายค่าดำเนินการประสานงาน ให้กับ บริษัท เอ๊ซ เทอราโนวา จำกัด
3.1 การขออนุญาตปรับสัญญา LOA เป็น PPA คิดเป็นเงินจำนวน 1,950,000,000 บาท
(1) ชำระเงินจำนวน 60,000,000 บาท ในวันที่มีมติจากคณะกรรมการ
(2) ชำระเงินจำนวน 1,890,000,000 บาท ในวันที่บริษัท เมตตาพาณิชย์ เซอร์วิส จำกัด ได้เข้าทำสัญญารับซื้อไฟฟ้ากับ การไฟฟ้าส่วนภูมิภาค ในวันเดียวกับที่มีการโอนหุ้น 100 %
3.2 การขอดำเนินการขอใบอนุญาตโรงงาน (รง.4) คิดเป็นเงินจำนวน 390,000,000 บาท ชำระในวันที่บริษัท เมตตาพาณิชย์ เซอร์วิส จำกัด ได้เข้าทำสัญญารับซื้อไฟฟ้ากับ การไฟฟ้าส่วนภูมิภาค

4.ผู้ซื้อต้องชำระเงินค่าที่ดินจำนวน 10 ไร่ ต่อ 1 โครงการ (1MW) รวม 1,950 ไร่ คิดเป็นเงินจำนวน 975,000,000 บาท
(1) ชำระเงินจำนวน 20,000,000 บาท ในวันที่มีมติจากคณะกรรมการ
(2) ชำระเงินจำนวน 955,000,000 บาท ในวันที่บริษัท เมตตาพาณิชย์ เซอร์วิส จำกัด ได้เข้าทำสัญญารับซื้อไฟฟ้ากับ การไฟฟ้าส่วนภูมิภาค ในวันเดียวกับที่มีการโอนหุ้น 100 % โดยจะส่งมอบเอกสารที่ดินทั้งหมดภายใน 30 วัน

5.ผู้ซื้อเป็นผู้ออกค่าใช้จ่ายในการเตรียมความพร้อมทั้ง 4 ด้าน ดังนี้
5.1ค่าดำเนินการในการจัดทำประชาพิจารณ์ 195 โครงการ คิดเป็นเงินจำนวน 60,000,000 บาท
(1) ผู้ซื้อชำระ 10,000,000 บาท ในวันที่ผู้ขายส่งมอบเอกสารประชาพิจารณ์ 30 โครงการแรก
(2)ผู้ซื้อชำระ 20,000,000 บาท ในวันที่ผู้ขายส่งมอบเอกสารประชาพิจารณ์ 50 โครงการ
(3)ผู้ซื้อชำระ 30,000,000 บาท ในวันที่ผู้ขายส่งมอบเอกสาร ประชาพิจารณ์ 115 โครงการ
5.2ผู้ซื้อเตรียมหนังสือค้ำประกันธนาคาร (BG) 195 โครงการๆละ 200,000 บาท คิดเป็นเงินจำนวน 39,000,000 บาท ภายใน 7 วันนับจากวันทำบันทึกข้อตกลง
