ด้วยองค์การบริหารส่วนจังหวัดระยอง ได้มีนโยบายที่จะจัดตั้งโรงเรียนมัธยมศึกษาในระดับช่วงชั้นที่ ๓ (ชั้นมัธยมศึกษาปีที่ ๑-๓) และช่วงชั้นที่ ๔ (ชั้นมัธยมศึกษาปีที่ ๔-๖) เพื่อให้บริการแก่ประชาชนในจังหวัดระยอง ได้มีสถานที่สำหรับส่งบุตรหลานเข้าเรียนตามความต้องการ อย่างเพียงพอ สภาองค์การบริหารส่วนจังหวัดระยอง จึงได้มีมติเห็นชอบให้ดำเนินการจัดตั้งสถานศึกษาในสังกัดองค์การบริหารส่วนจังหวัดระยองขึ้นเมื่อคราวประชุมสมัยสามัญสมัยที่ ๑ ประจำปีการศึกษา ๒๕๕๑ วันที่ ๑๑ กุมภาพันธ์ ๒๕๕๑ โดยใช้ชื่อ “โรงเรียนมัธยมตากสินระยอง” ทั้งนี้เพื่อเป็นการเทิดพระเกียรติแด่สมเด็จพระเจ้าตากสินมหาราช ผู้ซึ่งกอบกู้เอกราชของชาวไทยและเป็นที่เคารพสักการะของพี่น้องชาวจังหวัดระยอง โดยใช้อักษรย่อว่า “ต.ส.ร.” และ ภาษาอังกฤษ TRS ทั้งนี้องค์การบริหารส่วนจังหวัดระยอง ในสมัย นายปิยะ ปิตุเตชะ ดำรงตำแหน่งนายก องค์การบริหารส่วนจังหวัดระยอง ได้ประกาศจัดตั้งโรงเรียนมัธยมตากสินระยอง อย่างเป็นทางการเมื่อวันที่ ๗ กันยายน ๒๕๕๒ สถานที่ก่อตั้งโรงเรียนมัธยมตากสินระยอง ใช้พื้นที่เรือนจำกลางระยองเดิมซึ่งเป็นที่ดินขององค์การบริหารส่วนจังหวัดระยอง ตามโฉนดเลขที่ ๑๗๕๐ ตำบลเชิงเนิน อำเภอเมืองระยอง จังหวัดระยอง เนื้อที่ ๕๑-๐-๖๕.๖ ไร่ และที่ราชพัสดุตาม นสล. เลขที่ ๔๗๑๗ เนื้อที่ ๐-๒-๖๖.๗ ไร่ รวมเนื้อที่ทั้งหมด ๕๑-๓-๑๓.๓ ไร่ การบริหารโรงเรียน องค์การบริหารส่วนจังหวัดระยอง ได้ออกข้อบัญญัติองค์การบริหารส่วนจังหวัดระยอง ว่าด้วยการบริหารจัดการสถานศึกษา ๒๕๕๒ ในข้อบัญญัติดังกล่าวจัดให้มีคณะกรรมการ บริหารสถานศึกษาขององค์การบริหารส่วนจังหวัดระยอง ให้มีหน้าที่กำหนดนโยบายส่งเสริม สนับสนุน ตลอดจนวางกติกาข้อบังคับต่างๆเกี่ยวกับการบริหารสถานศึกษา ในการบริหารงานในระยะแรกกำหนดให้มีการบริหารงาน ๒ ระบบ กล่าวคือ ระบบการบริหารผู้บริหารโรงเรียน และหัวหน้ากลุ่มสาระ จัดจ้างโดยมูลนิธิตากสินระยอง ส่วนครูปฏิบัติการจัดจ้างเป็นพนักงานจ้างตามภารกิจขององค์การบริหารส่วนจังหวัดระยอง คณะกรรมการบริหารจัดการสถานศึกษาขององค์การบริหารส่วนจังหวัดระยอง ได้สรรหาผู้บริหาร โดยเริ่มปฏิบัติงานตั้งแต่วันที่ ๑ กุมภาพันธ์ ๒๕๕๓ ดังนี้ ๑ นายนคร ตังคะพิภพ ปฏิบัติหน้าที่ ผู้บริหารโรงเรียนมัธยมตากสินระยอง ๒นายชูโต แสงพงษ์ชัย ปฏิบัติหน้าที่ รองผู้บริหารโรงเรียนมัธยมตากสินระยอง ๓นายอำนาจ เวียงพล ปฏิบัติหน้าที่ รองผู้บริหารโรงเรียนมัธยมตากสินระยอง ในการบริหารจัดการตามระเบียบราชการองค์การบริหารส่วนจังหวัด ได้แต่งตั้งนายสุวินัย สนิทม่วง ผู้อำนวยการกองการศึกษาศาสนา และวัฒนธรรม เป็นผู้รักษาการในตำแหน่งผู้อำนวยการโรงเรียนมัธยมตากสินระยอง และนอกจากนี้แล้ว มูลนิธิตากสินระยอง ยังจัดจ้างครูที่มีประสบการณ์ และมีความสามารถมาปฏิบัติหน้าที่หัวหน้ากลุ่มสาระ จำนวน ๙ คน โดยเริ่มปฏิบัติหน้าที่ ตั้งแต่วันที่ ๑๖ กุมภาพันธ์ ๒๕๕๓ อาคารเรียนตามแผนพัฒนาเต็มรูป มีอาคารทั้งหมด ๕ หลัง ประกอบด้วย ๑. อาคาร A และอาคาร B ใช้เป็นสถานที่ตั้งสำนักงานและอาคารเรียน ๒. อาคาร C ใช้เป็นโรงอาหาร , ห้องสมุด และห้องประชุม ๓. อาคาร D เป็นอาคารยิมเนเซี่ยม ใช้ในการเรียนการสอนวิชาพละศึกษา ๔. อาคาร E เป็นอาคารฝึกงาน นอกจากนี้แล้วยังมีสนามกีฬา ลู่วิ่งและสระว่ายน้ำ อย่างมาตรฐานเต็มรูปแบบ ในการจัดการเรียนการสอนโดยเปิดการเรียนการสอนในระบบ ๒ ภาษากล่าวคือใช้ภาษาอังกฤษในการเรียนการสอนรายวิชา คณิตศาสตร์ วิทยาศาสตร์ คอมพิวเตอร์ และภาษาอังกฤษ ซึ่งในอนาคตคาดว่าจะเปิดการเรียนการสอนจนถึง
