ง่ายขึ้น โดยเฉพาะอย่างยิ่ง ธุรกิจขนาดกลางและขนาดย่อม (SMEs)ที่มีบทบาทสำคัญต่อการขับเคลื่อนเศรษฐกิจของ
ประเทศ และถือเป็นรากฐานทางเศรษฐกิจที่สำคัญซึ่งหากธุรกิจดังกล่าวได้รับการดูแล สนับสนุน และส่งเสริมที่ดีก็จะ
เติบโตเป็นธุรกิจขนาดใหญ่ในที่สุด ทั้งนี้ รูปแบบหรือระบบการซื้อขายหลักทรัพย์ในตลาดหลักทรัพย์ MAI เหมือนกับการซือ้ ขายหลักทรัพย์ของตลาดหลักทรัพย์แห่งประเทศไทย แต่มีเกณฑ์การเข้าเป็นบริษัทจดทะเบียนบางประการที่มีความ
แตกต่างกันคือ

ในการศึกษาครั้งนี้จึ้งได้ให้ความสนใจในการศึกษาเกี่ยวกับปัจจัยที่มีอิทธิพลต่อการกำหนดการจ่าย
ค่าตอบแทนของกรรมการและผู้บริหารของบริษัทจดทะเบียนในตลาดหลักทรัพย์ MAI ที่มีต่อ External Audit เพราะโดยส่วนใหญ่บริษัทที่จดทะเบียนในตลาดหลักทรัพย์ MAI จะเป็นธุรกิจครอบครัวและผู้บริหารระดับสูงจะเป็นผู้ถือหุ้นรายใหญ่ของบริษัท

วันที่ 17 กันยายน 2544 ตลาดหลักทรัพย์ MAI จึงได้เริ่มเปิดการซื้อ ขายหลักทรัพย์เป็นครั้งแรก โดยมีบริษัทจดทะเบียนที่
นำหลักทรัพย์เข้าซือ้ ขายในตลาดหลักทรัพย์ MAI เป็นบริษัทแรก คือ บริษัท Bruker และต่อมาเพื่อให้ผู้ลงทุนได้รับรู้ข้อมูลและเห็นภาพของแนวโน้มการเคลื่อนไหวของการซื้อขายหลักทรัพย์จดทะเบียนในตลาดหลักทรัพย์ MAI คล้ายกับกรณีของตลาดหลักทรัพย์แห่งประเทศไทยจึงมีการคำนวณ และเผยแพร่ดัชนีราคาหุ้นตลาดหลักทรัพย์ MAI ซึ่งการคำนวณใช้หลักเกณฑ์เดียวกับดัชนีราคาหุ้นตลาดหลักทรัพย์ (SET Index) โดยใช้วันที่ 2 กันยายน2545 เป็นวันฐานในการคำนวณ นับจากวันแรกที่มีหลักทรัพย์เข้าจดทะเบียน ตลาดหลักทรัพย์ MAI มีธุรกิจ ที่มีศักยภาพ7จำนวนมากให้ความสนใจที่จะนำหลักทรัพย์เข้ามาจดทะเบียน โดยปัจจุบันมี 73 บริษัทที่มีการซื้อ ขายหลักทรัพย์ในตลาดหลักทรัพย์ MAIตลาดหลักทรัพย์ MAI มีการเติบโตอย่างมากและได้รับความสนใจจากนักลงทุนมาก แต่ขึ้นอย่างไรก็ตามงานวิจัยด้านตลาดทุนที่ผ่านมาส่วนใหญ่จะให้ความสำคัญเฉพาะตลาดหลักทรัพย์แห่งประเทศไทย ดังนั้นผู้ศึกษาจึงเห็นว่าควรมีการศึกษาในตลาดหลักทรัพย์ MAI เพื่อนำไปพิจารณาว่ามีความสอดคล้องกับตลาดหลักทรัพย์แห่งประเทศไทยหรือไม่
