มาตรา ๕๔ ให้มีคณะกรรมการบริหารกองทุนคณะหนึ่ง ประกอบด้วย

(๑) ประธาน กสทช. เป็นประธานกรรมการ
(๒) ปลัดสำนักนายกรัฐมนตรี ปลัดกระทรวงกลาโหม เลขาธิการคณะกรรมการพัฒนาการเศรษฐกิจและสังคมแห่งชาติ ผู้อำนวยการสำนักงบประมาณ อธิบดีกรมบัญชีกลาง และผู้อำนวยการศุนย์เทคโนโลยีอิเล็กทรอนิกส์และคอมพิวเตอร์แห่งชาติ เป็นกรรมการโดยตำแหน่ง
(๓) ผู้ทรงคุณวุฒิ จำนวนสองคน ซึ่งกรรมการ (๑) และ (๒) เป็นผู้คัดเลือก
