ข้อ 3. เพื่อเป็นการประกันความเสียหายและประกันการชำระค่าเช่าตามสัญญานี้ ผู้เช่าจึงตะลงให้ถือเอาเงินประกนจำนวน ………………บาท (………………………………………………..) ที่ผู้เช่าได้มีข้อตกลงและมอบให้ไว้แก่ผู้ให้เช่าตามสัญญาเช่าสถานที่และกิจการโรงแรมระหว่างผู้เช่ากับผู้ให้เช่าฉบับลงวันที่ ……………………………………………….. นั้น ให้ถือว่าเป็นเงินประกันความเสียหายและประกันการชำระค่าเช่าตามสัญญานี้ด้วย หากผู้เช่าปฏิบัติผิดสัญญาข้อหนึ่งข้อใดหรือทำให้ผู้ให้เช่าต้องได้รับความ เสียหายด้วยประการใด ๆ ผู้เช่าตกลงให้ผู้ให้เช่าหักเงินประกันจำนวนนี้เพื่อชดเชยความเสียหายที่ผู้ให้เช่า ได้รับได้ในจำนวนเท่าที่ผู้ให้เช่าเสียหายแท้จริง และถ้าหากเงินประกันเหลืออยู่อีกเท่าใด ผู้ให้เช่าจะคืนให้ ผู้เช่าทันที แต่หากถ้าจำนวนความเสียหายของผู้ให้เช่ามากกว่าจำนวนเงินที่วางประกันไว้ผู้เช่าก็ตกลงยอม รับผิดชอบใช้ให้จนเต็มจำนวน
เมื่อสัญญาเช่าสิ้นสุดลงไม่ว่าจะโดยที่ทั้งสองฝ่ายไม่ได้ต่ออายุสัญญากันใหม่ หรือโดยประการอื่นใดก็ตาม โดยผู้เช่ามิได้ปฏิบัติผิดสัญญาหรือก่อให้เกิดความเสียหายใด ๆ ต่อผู้ให้เช่าแล้ว ผู้ให้เช่าจะต้องคืนเงินประกันทั้งหมดโดยเต็มจำนวนแก่ผู้เช่าทันที


ข้อ 4. ผู้เช่าตกลงดังนี้:-

4.2 ผู้เช่าจะใช้ทรัพย์สินที่เช่าโดยบริวารของตนเอง จะไม่ให้บุคคลอื่นเช่า เช่าช่วง หรือเข้าดำเนินกิจการหรือใช้ประโยชน์แทนเป็นอันขาด ไม่ว่าทั้งหมดหรือแต่บางส่วน เว้นแต่จะได้รับความยินยอมเป็นลายลักษณ์อักษรจากผู้ให้เช่าเสียก่อน
4.3 หากผู้เช่าผิดนักไม่ชำระค่าเช่าติดต่อกันสามเดือน ผู้ให้เช่ามีสิทธิบอกเลิกสัญญาและหักลบค่าเสียหายเอาจากเงินประกัน เพื่อชดเชยความเสียหายทั้งหมดที่เกิดขึ้นได้
4.4 ผู้เช่าจะไม่นำเอาทรัพย์สินที่เช่าไปจำนอง จำนำ ขายฝาก หรือจำหน่ายโอนด้วยประการใด หรือโดยวิธีใด ๆ หรือนำไปเป็นหลักค้ำประกันหรือทำนิติกรรมใด ๆ อันก่อให้เกิดภาระติดพันในทรัพย์สินที่เช่าเป็นอันขาด

4.7 ในระหว่างอายุการเช่า ถ้าผู้เช่ามีความประสงค์ต่อเติมดัดแปลงแก้ไขทรัพย์สินที่เช่าผู้เช่าจะต้องได้รับความยินยอมจากผู้ให้เช่าเป็นลายลักษณ์อักษรเสียก่อน และสิ่งที่ต่อเติมดัดแปลงหากติดตรึงกับทรัพย์สินที่เช่าแล้ ให้ตกเป็นกรรมสิทธิ์ของผู้ให้เช่าทันทีผู้เช่าจะรื้อถอนไปไม่ได้
ข้อ 5. เป็นที่ตกลงว่าข้อกำหนดตามสัญญานี้ทุกข้อตามสาระสำคัญ หากฝ่ายใดไม่ปฏิบัติตามสัญญานี้ข้อหนึ่งข้อใด หรือปฏิบัติผิดสัญญานี้ข้อหนึ่งข้อใด อีกฝ่ายหนึ่งมีสิทธิบอกเลิกสัญญาเช่านี้ได้ทันทีในกรณีเช่นนี้ ผู้ให้เช่าต้องคืนเงินประกันให้ผู้เช่า หากผู้เช่าไม่ได้ทำความเสียหายใด ๆ แก่ผู้ให้เช่า แต่ถ้ามีความเสียหายเกิดขึ้นจากการกระทำของผู้เช่าเป็นจำนวนเท่าใดก็ตาม ผู้ให้เช่ามีสิทธิหักลบ เอาจากเงินประกันก่อนแล้วต้องคืนเงินประกันส่วนที่เหลือให้แก่ฝ่ายผู้เช่าทันที
ข้อ 6. นอกจากผู้เช่าจะได้ทำสัญญาเช่าทรัพย์จากผู้ให้เช่าตามสัญญานี้แล้วผู้เช่ายังได้ทำสัญญาเช่าสถานที่และกิจการโรงแรมฉบับลงวันที่………..เดือน……………………..พ.ศ. ………………ด้วย ซึ่ง คู่สัญญาทั้งสองฝ่ายตกลงให้ถือว่าสัญญาเช่าฉบับนี้เป็นส่วนหนึ่งข้อใดหรือปฏิบัติผิดสัญญาเช่าสถานที่และ กิจการโรงแรมข้อหนึ่งข้อใดจนเป็นเหตุให้อีกฝ่ายหนึ่งใช้สิทธิบอกเลิกสัญญาแล้ว คู่สัญญาตกลงว่าการใช้สิทธิบอกเลิกสัญญาเช่านี้เป็นการใช้สิทธิบอกเลิกสัญญาเช่าทั้งสองฉบับ ซึ่งทั้งสองมีหน้าที่ต้องปฏิบัติตามข้อกำหนดในสัญญาทั้งสองฉบับด้วย
