ข้อ 1 ข้อตกลงซื้อขาย

ผู้ขายรับรองว่าน้ำมันเชื้อเพลิงที่ขายให้ตามข้อตกลงนี้มีคุณภาพและมาตรฐานเป็นไปตามที่ทางราชการกำหนดไว้ และเป็นน้ำมันเชื้อเพลิงที่ส่งโดยตรงจากบริษัทซึ่งเป็นเจ้าของเครื่องหมายการค้าของสถานีบริการน้ำมันเชื้อเพลิงของผู้ขาย

ข้อ 2 การส่งมอบ
ผู้ขายจะต้องส่งมอบน้ำมันเชื้อเพลิงเป็นคราว ๆ ตามชนิดและจำนวนน้ำมันเชื้อเพลิง ตามหลักฐานใบสั่งจ่ายน้ำมันเชื้อเพลิงของผู้ซื้อ โดยผู้ซื้อจะรับน้ำมันเชื้อเพลิง ณ สถานีบริการน้ำมันเชื้อเพลิงของผู้ขายและผู้ซื้อจะแสดงหลักฐานใบสั่งจ่ายน้ำมันเชื้อเพลิงที่มีลายมือชื่อผู้มีอำนาจสั่งจ่าย หมายเลขทะเบียนรถยนต์ หมายเลข ชป.รถยนต์ รายชื่อพนักงานขับรถยนต์ เฉพาะที่ได้ระบุไว้ในเอกสารแนบท้ายข้อตกลง และผู้ขายจะต้องออกใบส่งของที่ระบุ ชนิดน้ำมันเชื้อเพลิง จำนวนลิตร ราคาน้ำมันเชื้อเพลิงต่อลิตร จำนวนเงิน เลขที่ใบสั่งจ่าย หมายเลขทะเบียนรถยนต์ หมายเลข ชป.รถยนต์ ทุกครั้งที่มีการจ่ายน้ำมันเชื้อเพลิงให้กับพนักงานขับรถยนต์ เพื่อที่ผู้ซื้อจะนำมาเป็นหลักฐานประกอบการชำระเงิน

ข้อ 3 การชำระเงิน
ผู้ซื้อ ตกลงชำระเงินค่าน้ำมันเชื้อเพลิงให้กับผู้ขายเป็นรายเดือนทุกสิ้นเดือนตามมูลค่าของน้ำมันเชื้อเพลิงที่มีการส่งมอบให้แก่ผู้ซื้อแล้วในแต่ละเดือน โดยผู้ขายจะต้องออกใบแจ้งหนี้/ใบกำกับภาษีให้กับ ผู้ซื้อเพื่อดำเนินการเบิกจ่ายเงิน และผู้ซื้อจะชำระเงินค่าน้ำมันเชื้อเพลิงภายใน 7 (เจ็ด) วันทำการ นับแต่วันที่ผู้ขายได้แสดงหลักฐานใบแจ้งหนี้/ใบกำกับภาษี และหลักฐานการส่งมอบน้ำมันเชื้อเพลิงตามข้อตกลงข้อ 2 ต่อผู้ซื้อ

ข้อ 4 กำหนดระยะเวลาของข้อตกลง
ข้อตกลงซื้อขายนี้ให้มีผลผูกพันทั้งผู้ซื้อและผู้ขาย โดยมีกำหนดระยะเวลา 3 (สาม) เดือน นับตั้งแต่ วันที่ เดือน พ.ศ. ถึงวันที่ เดือน .
พ.ศ. หรือเมื่อผู้ขายได้ส่งมอบน้ำมันเชื้อเพลิงมีมูลค่าครบตามจำนวนวงเงินที่ระบุในข้อตกลงข้อ 1 ทั้งนี้ กำหนดเวลาใดถึงก่อน ก็ให้ถือเอาตามกำหนดเวลานั้น

ข้อ 5 การบอกเลิกข้อตกลง
ถ้าผู้ขายไม่สามารถส่งมอบน้ำมันเชื้อเพลิงให้แก่ผู้ซื้อ หรือส่งมอบไม่ถูกต้องหรือไม่ครบจำนวนตามใบสั่งจ่ายน้ำมันเชื้อเพลิง หรือผู้ขายปฏิบัติหรือไม่ปฏิบัติอันเป็นการผิดข้อตกลงข้อหนึ่งข้อใดหรือตกเป็น ผู้ล้มละลาย ผู้ซื้อมีสิทธิบอกเลิกข้อตกลงทั้งหมดหรือบางส่วนก็ได้

ข้อ 6 ค่าปรับ
กรณีผู้ซื้อไม่ใช้สิทธิบอกเลิกข้อตกลงเมื่อผู้ขายได้รับใบสั่งจ่ายน้ำมันเชื้อเพลิงจากผู้ซื้อและผู้ขาย ไม่สามารถส่งมอบน้ำมันเชื้อเพลิงให้แก่ผู้ซื้อในคราวใด ผู้ขายจะต้องชำระค่าปรับให้ผู้ซื้อในอัตราร้อยละ
0.20 ของราคาน้ำมันเชื้อเพลิงที่ไม่ได้ส่งมอบในคราวนั้น
กรณีผู้ซื้อใช้สิทธิบอกเลิกข้อตกลงตามข้อ 5 และได้แจ้งข้อเรียกร้องให้ชำระค่าปรับไปยังผู้ขายตามวรรคแรกแล้วผู้ซื้อมีสิทธิที่จะปรับผู้ขายได้ตามจำนวนดังกล่าวด้วย

ข้อ 7 การรับผิดชดใช้ค่าเสียหาย
ถ้าผู้ขายไม่ปฏิบัติตามข้อตกลงข้อหนึ่งข้อใด ด้วยเหตุใด ๆ ก็ตาม จนเป็นเหตุให้เกิดความเสียหายแก่ผู้ซื้อแล้ว ผู้ขายต้องชดใช้ค่าเสียหายให้แก่ผู้ซื้อโดยสิ้นเชิงภายในกำหนด 30 (สามสิบ) วัน นับแต่วันที่ได้รับแจ้งจากผู้ซื้อ
