[phone], Fax [phone], contact e-mail: [e-mail]) ("AS") , Hakuhodo Incorporated, its , head office located at 5-3-1 Akasaka, Minato-Ku, Tokyo, Japan, (contact number Tel.[phone], Fax [phone], contact e-mail: [e-mail]) ("HD")(hereinafter AS and HD shall be collectively “AS&HD”S, and Amarin Printing & Publishing Public Co., Ltd. , its juristic person registration No.01007536000480, office located at No.378 Chaiyaphruek Road, Taling Chan Sub-District, Taling Chan District, Bangkok Metropolis 10170 Tel. [phone], fax [phone], e-mail: [e-mail] , with having Mrs.Rarin Utakapan Punjarungroj, authorized director signed for the company ("AMARIN") .
1 Objectives
This Contract is made and entered for publishing the free book “Mikke” and pursuing its relevant project between AS&HD and AMARIN. With that AS&HD is the owner of the intellectual properties of artworks and characters called “Mikke” and related teaching media, AS&HD request AMARIN with the services (collectively the “Services”) to proceed in and AMARIN has accepted and agreed to render the Services.

2 The scope of the Services
The scope of the Services rendered by AMARIN shall be defined in this Clause.
2.1 Publish the free book named “Mikke” in a shape of magazine for 16 pages, with translated from the original Japanese language into Thai language, arranging for all artworks and printed for one chapter per publish, total 4 publishes, 100,000 books per publish, as September 2016 edition, November 2016 edition, December 2016 edition and February 2017 edition to give free in the activities of schools for 100 schools, including sell at Naiin Store at the branch that the AMARIN seems fit and making focus group/school visit to follow up the result of the reader who has received the book. AMARIN shall render this service from1 July 2016 and end up on or before 3 March 2017
2.2 Arrange for Japanese Education Forum in 1 September 2016, time 13:00-16:00 hrs. at TK Park at Central World, by that AMARIN will invite the teachers from 100 schools,2 teachers per school to attend this forum, AMARIN will arrange for the personnel from school, media, writer, inspirational person, stars, celebrities from each professions to speak in this forum.
2.3 The details of the Services as appears in the Quotation provided by AMARIN to AS&HD, dated 20 June 2016 with Project Presenting Document attached herewith, and both documents shall be deemed as part of this Contract.

3. Payment
AS&HD agrees to pay AMARIN the remuneration for rendering the Services according to this Clause. AMARIN has acknowledged and agreed the all the fee and/or cost occurred due to rendering the Services shall be included to the remuneration and the remuneration shall be paid by Hakuhodo Asia Pacific Co., Ltd. instead of AS&HD. The details of the payment are defined in this Clause.
3.1 For the services defined in 2.1 : 2,916,000 Baht (Two Million Nine Hundred Sixteen Thousand Baht only) + 7% VAT for 204,120 Baht (Two Hundred Four Thousand One Hundred Twenty Baht only), total 3,120,120 Baht (Three Million One Hundred Twenty Thousand One Hundred Twenty Baht only).
3.2 For the services defined in 2.2 : 765,000 Baht (Seven Hundred Sixty-Five Thousand Baht only) + 7% VAT for 53,550 Baht (Fifty-Three Thousand Five Hundred Fifty Baht only), total 818,550 Baht (Eight Hundred Eighteen Thousand Five Hundred Fifty Baht only). All the amount shall be paid on or before DD MM, YYYY.
3.3 AS&HD agree to pay the remuneration defined in 3.1 above in 2(two) installments. The first installment for 1,560,060 Baht (One Million Five Hundred Sixty Thousand Sixty Baht only) to the AMARIN on 20 August 2016, and in the 2nd installment for 1,560,060 Baht (One Million Five Hundred Sixty Thousand Sixty Baht only) to the AMARIN on 30 September 2016.
3.4 AMARIN agrees for AS&HD to deduct for Income Tax at the payment according to the specification rate of the Revenue Code or in comply with any other related law in all aspect in every remuneration payment.
3.5 AMARIN agrees to be responsible in duty stamp specified by the law solely.

4. License, Intellectual Property and Confidential
4.1 On completion of each edition of free book of “Mikke”, AMARIN shall save all the artwork of “Mikke” for AS&HD, by that AS&HD can use in any way and get the benefit of it.
4.2 AMARIN agrees not to disclose the confidential information and comply with the confidential agreement made and entered by AMARIN and AS&HD on DD MM,2016 .
4.3 The copyright and ownership of the free book of “Mikke” belongs solely to AS&HD.

4.2 AMARIN. Agrees not to disclose the confidential information and comply with the Agreement confidential and entered Made by AMARIN HD on DD and AS & MM, 2016.
4.3 The Ownership of Copyright and the Book of free "Mikke" belongs solely to AS & HD.
