สัญญาฉบับนี้ทำขึ้นระหว่าง บริษัท พีทีที โพลีเมอร์ โลจิสติกส์ จำกัด ทะเบียนนิติบุคคลเลขที่ 0105549108835 สำนักงานตั้งอยู่เลขที่ 555/1 ศูนย์เอนเนอร์ยี่คอมเพล็กซ์ อาคารเอ ชั้นที่ 8 ถนนวิภาวดีรังสิตแขวงจตุจักรเขตจตุจักร กรุงเทพมหานครซึ่งต่อไปในสัญญานี้เรียกว่า "ผู้ว่าจ้าง" ฝ่ายหนึ่ง กับ บริษัท คาทูน นาที เซอร์วิสเซส (ประเทศไทย) จำกัด ทะเบียนนิติบุคคลเลขที่ 0105541056038 สำนักงานตั้งอยู่เลขที่ 20 ถนนเมืองใหม่มาบตาพุดสาย 6 ตำบลห้วยโป่ง อำเภอเมืองระยอง จังหวัดระยอง ซึ่งต่อไปในสัญญานี้เรียกว่า "ผู้รับจ้าง"อีกฝ่ายหนึ่ง โดยมีข้อตกลงกันดังต่อไปนี้.-
ข้อ 1. ผู้ว่าจ้างตกลงจ้างผู้รับจ้างและผู้รับจ้างตกลงรับจ้างเพื่อมุ่งความสำเร็จในงานจ้างเหมาบริหารคลังสินค้าที่คลังสินค้าของผู้รับจ้าง (Storage and Handling) โดยมีขอบเขตงานจ้าง ดังนี้
1.1 Unload product from truck and move the product to the designated
warehouse location.
1.2 Storage of the products in the dedicated warehouse.
1.3 Loading product onto truck.
1.4 WMS and Scanning system.
ซึ่งต่อไปในสัญญานี้เรียกว่า"งาน" โดยมีกำหนดระยะเวลาจ้าง 6 เดือน เริ่มตั้งแต่วันที่ 1 มกราคม 2557 ถึงวันที่ 30 มิถุนายน 2557 รวมเป็นค่าบริการงานจ้างตลอดสัญญาทั้งสิ้นไม่เกิน 20,000,000 บาท (ยี่สิบล้านบาทถ้วน) ราคานี้ไม่รวมภาษีมูลค่าเพิ่ม(ถ้ามี)
ข้อ 2. ผู้รับจ้างสัญญาว่าจะจัดหาสิ่งของชนิดดี ใช้เครื่องมือดี และช่างฝีมือดีเพื่อประกอบการทำงานตามสัญญานี้จนแล้วเสร็จ
ผู้รับจ้าง และ บุคลากรของผู้รับจ้าง ไม่อยู่ภายใต้การบังคับบัญชาของผู้ว่าจ้างและผู้ว่าจ้างไม่มีอำนาจในการลงโทษทางวินัย ผู้รับจ้างและบุคลากรของผู้รับจ้างไม่ต้องอยู่ภายใต้ระเบียบข้อบังคับเกี่ยวกับการทำงานของผู้ว่าจ้างผู้รับจ้างกับผู้ว่าจ้างไม่มีสถานภาพในการเป็นลูกจ้างกับนายจ้างแต่มีสถานภาพเป็นผู้รับจ้างกับผู้ว่าจ้าง มีความผูกพันในการจ้างเพื่อมุ่งความสำเร็จซึ่งเป็นการจ้างทำของ ไม่อยู่ภายใต้การบังคับตามกฎหมายแรงงานทุกฉบับเนื่องจากมิใช่เป็นการจ้างแรงงาน



ผู้รับจ้างมีหน้าที่และความรับผิดชอบในการปฏิบัติต่อบุคลากรของผู้รับจ้างที่ปฏิบัติงานตามตามสัญญาให้ถูกต้องและเป็นไปตามพระราชบัญญัติคุ้มครองแรงงาน พระราชบัญญัติประกันสังคม หรือกฎหมายอื่นใดที่เกี่ยวข้องกับการปฏิบัติงาน ทั้งที่มีผลบังคับใช้อยู่ในปัจจุบัน และหรือที่จะใช้บังคับในอนาคต
ข้อ 3. ในวันทำสัญญานี้ผู้รับจ้างได้นำหลักประกันเป็นหนังสือสัญญาค้ำประกันเลขที่
…………(ได้รับยกเว้นหลักประกันสัญญา)……….. เป็นจำนวนร้อยละ10 (สิบ) ของราคาค่าบริการงานจ้างตามสัญญานี้มามอบไว้แก่ผู้ว่าจ้างเพื่อเป็นประกันการปฏิบัติตามสัญญา หลักประกันดังกล่าวมีอายุประกันนับตั้งแต่วันที่สัญญาฉบับนี้มีผลบังคับใช้หรือตั้งแต่วันที่ผู้รับจ้างเริ่มทำงานไปจนกว่าผู้รับจ้างจะพ้นความรับผิดชอบตามสัญญานี้ และถ้ากำหนดเวลาความรับผิดชอบของผู้รับจ้างตามสัญญาต้องยืดออกไปด้วยเหตุใดๆ ก็ตาม ผู้รับจ้างต้องนำหลักประกันมามอบไว้แก่ผู้ว่าจ้างให้มีอายุการประกันให้ครบความรับผิดตามสัญญาต่อไป
หลักประกันที่ผู้รับจ้างนำมามอบไว้ตามวรรคหนึ่ง ผู้ว่าจ้างจะคืนให้เมื่อผู้รับจ้างพ้นจากข้อผูกพันตามสัญญานี้แล้ว
ข้อ 4. ผู้ว่าจ้างตกลงชำระค่าบริการงานจ้างให้แก่ผู้รับจ้าง และผู้รับจ้างตกลงรับค่าบริการงานจ้างเป็นรายเดือนตามปริมาณความสำเร็จของงานบริการที่แล้วเสร็จภายใต้ขอบเขตงานดังระบุไว้ในข้อ 1. โดยมีอัตราค่าบริการงานจ้าง ดังนี้
