โดยที่แฟรนไชส์เป็นเจ้าของเครื่องหมายการค้า รุ่งบ้านกาแฟ กาแฟสมุนไพร ใส่เฉาก๊วย และอุปกรณ์ต่างๆที่ใช้ในการผลิต กาแฟสมุนไพร ใส่เฉาก๊วย ปรากฏตามเครื่องหมายการค้าแนบท้ายสัญญานี้ซึ่งต่อไปนี้เรียกว่า “เครื่องหมายการค้า” และ เจ้าของแฟรนไชส์ มีความประสงค์จะทำความตกลงกับ ผู้ซื้อแฟรนไชส์ ตามเงื่อนไขและข้อกำหนดในสัญญาที่จะกล่าวต่อไปนี้
ทั้งสองฝ่ายจึงตกลงทำสัญญากันดังนี้

ข้อ 3. หน้าที่และความรับผิดชอบของ ผู้ซื้อแฟรนไชส์

3.2 ผู้ซื้อแฟรนไชส์ สัญญาว่าจะไม่นำเครื่องหมายการค้า และกิจการค้าตามสัญญาฉบับนี้ไม่ว่าทั้งหมดหรือบางส่วนไปให้บุคคลภายนอกใช้ หรือเช่าช่วง เว้นแต่จะได้รับความยินยอมเป็นลายลักษณ์อักษร โดยชัดแจ้งจาก เจ้าของแฟรนไชส์
3.3 ผู้ซื้อแฟรนไชส์ จะต้องซื้อสินค้าในการผลิต กาแฟสมุนไพร ใส่เฉาก๊วย ภายใต้เครื่องหมายการค้าของ เจ้าของแฟรนไชส์ ไม่ว่าจะเป็นสินค้าที่มีอยู่แล้วในขณะที่ทำสัญญาหรือที่พึงมีต่อไปภายหน้า ตลอดจนสินค้าที่ เจ้าของแฟรนไชส์ กำหนดให้ ผู้ซื้อแฟรนไชส์ สามารถซื้อได้ ทั้งนี้เพื่อมาให้สินค้าที่ผลิตและจำหน่ายในสถานประกอบการค้าของ ผู้ซื้อแฟรนไชส์ ตามสัญญามีคุณภาพและมาตรฐานที่ เจ้าของแฟรนไชส์ กำหนดและ ผู้ซื้อแฟรนไชส์ ไม่สามารถนำสินค้าจำพวกอื่นๆเข้ามาผลิตและจำหน่ายในสถานที่ประกอบการภายใต้เครื่องหมายการค้าตามสัญญาดังกล่าวได้
3.4 ผู้ซื้อแฟรนไชส์ ตกลงยินยอมให้ เจ้าของแฟรนไชส์ หรือตัวแทนเข้าตรวจดูสถานที่ประกอบการค้าของ ผู้ซื้อแฟรนไชส์ ได้ตลอดเวลา ผู้ซื้อแฟรนไชส์ ต้องจัดการทำรายการจำหน่ายใช้วัตถุดิบและค่าใช้จ่ายอื่นตามแบบที่ เจ้าของแฟรนไชส์ กำหนดเพื่อให้สามารถตรวจสอบได้และต้องเก็บเอกสารดังกล่าวไว้ที่สถานประกอบการค้า
3.5 ผู้ซื้อแฟรนไชส์ ต้องดำเนินการชำระภาษีการค้า และแสดงแบบการเสียภาษีอากรต่อทางราชการ ตลอดจนค่าใช้จ่ายต่างๆในการเสียภาษีการค้าเองทั้งสิ้น
3.6 ผู้ซื้อแฟรนไชส์ จะต้องป้องกันเครื่องหมายการค้าดังกล่าวมิให้ผู้อื่นกระทำการล่วงล้ำสิทธิในเครื่องหมายการค้าของ เจ้าของแฟรนไชส์ มิว่าจะเป็นการใช้เครื่องหมายการค้าปลอมหรือการเรียนแบบเครื่องหมายการค้าของ เจ้าของแฟรนไชส์ การใช้รูปรอยประดิษฐ์ หรือข้อความใดๆ จะต้องแจ้งให้ เจ้าของแฟรนไชส์ ทราบทันที

3.8 ผู้ซื้อแฟรนไชส์ จะไม่ทำการคัดลอกเครื่องหมายการค้า ตามสัญญานี้โดยไม่ได้รับอนญาตจากเจ้าของแฟรนไชส์เป็นลายลักษณ์อักษร
3.9 ผู้ซื้อแฟรนไชส์ ยอมรับว่า ตรา หรือ ชื่อ ของ เจ้าของแฟรนไชส์ ที่ประทับลงบนคู่มือและเอกสารต่างๆที่เกี่ยวข้องตามสัญญานี้เป็นลิขสิทธ์ของ เจ้าของแฟรนไชส

 ทั้งสองฝ่ายจึงตกลงทำสัญญากันดังนี้

 3.2 ผู้ซื้อแฟรนไชส์ สัญญาว่าจะไม่นำเครื่องหมายการค้า และกิจการค้าตามสัญญาฉบับนี้ไม่ว่าทั้งหมดหรือบางส่วนไปให้บุคคลภายนอกใช้ หรือเช่าช่วง เว้นแต่จะได้รับความยินยอมเป็นลายลักษณ์อักษร โดยชัดแจ้งจาก เจ้าของแฟรนไชส์
