บันทึกฉบับนี้ทำขึ้นระหว่างบริษัท เรโทรโซเชียล จำกัด โดยนางสาวนงลักษณ์ นาคะสิริ ที่อยู่ 20 ถนนสุขเกษม ตำบลสุเทพ อำเภอเมืองเชียงใหม่ จังหวัดเชียงใหม่ ซึ่งในสัญญาฉบับนี้เรียกว่า “ผู้จะขาย”
กับ นางสาวมลิวรรณ บุญมา ที่อยู่ 88/27 หมู่ที่ 2 ต.ป่าแดด อ.เมืองเชียงใหม่ จ.เชียงใหม่ ซึ่งในสัญญาฉบับนี้เรียกว่า “ผู้จะซื้อ”
คู่สัญญาทั้งสองฝ่ายตกลงทำบันทึกแนบท้ายสัญญากันดังมีข้อความต่อไปนี้
ข้อ 1. ตามที่คู่สัญญาทั้งสองฝ่ายได้มีการตกลงกัน ซึ่งคู่สัญญาทั้งสองฝ่ายมีความประสงค์ที่จะยกเลิก ข้อความในสัญญา ข้อที่ 11.5.2 เรื่อง การันตีค่าเช่า 8% ต่อปี (ของราคาซื้อขาย) เป็นระยะเวลา 3 ปีไม่ขอหัก ณ ที่จ่าย 5% และสัญญาข้อที่ 11.5.6 เรื่อง การันตีรับซื้อคืนในสิ้นปีที่ 5 ในราคาซื้อขายตามสัญญานี้
ข้อ 2. คู่สัญญาทั้งสองฝ่ายมีความประสงค์ที่จะทำบันทึกแนบท้ายสัญญาฉบับนี้ โดยให้ยกเลิกสัญญาข้อที่ 11.5.2 และ ข้อที่ 11.5.6 ซึ่งข้อความในสัญญาส่วนหนึ่งส่วนใดขัดกับบันทึกแนบท้ายสัญญาฉบับนี้ ให้ใช้ข้อความตามที่บันทึกฉบับนี้ ส่วนข้อความใดที่ไม่ขัดก็ให้เป็นไปตามสัญญาดังกล่าว
บันทึกแนบท้ายสัญญานี้ทำขึ้นเป็นสองฉบับ มีข้อความถูกต้องตรงกัน คู่สัญญาทั้งสองฝ่ายต่างได้อ่านและเข้าใจในข้อความแห่งเอกสารแนบท้ายสัญญาฉบับนี้แล้ว เห็นว่าตรงตามเจตนารมณ์ จึงได้ลงลายมือชื่อไว้เป็นสำคัญต่อหน้าพยานและต่างฝ่ายต่างยึดถือไว้ฝ่ายละหนึ่งฉบับ
