จนกระทั่งพุทธศักราช ๒๔๔๕ จึงเข้าสู่วาระสำคัญในการออกธนบัตร กล่าวคือ พระบาทสมเด็จพระจุลจอมเกล้าเจ้าอยู่หัว ได้มีพระบรมราชโองการให้ตรา พระราชบัญญัติธนบัตรสยาม รัตนโกสินทรศก ๑๒๑ ขึ้นเมื่อวันที่ ๒๔ มิถุนายน พ.ศ. ๒๔๔๕ อีกทั้งโปรดให้จัดตั้ง กรมธนบัตร ในสังกัดกระทรวงพระคลังมหาสมบัติ เพื่อทำหน้าที่ออกธนบัตรและรับจ่ายเงินขึ้นธนบัตร และเปิดให้ประชาชนนำเงินตราโลหะมาแลกเปลี่ยนเป็นธนบัตรตั้งแต่วันที่ ๒๓ กันยายน พ.ศ. ๒๔๔๕ จึงนับว่าธนบัตรได้เข้ามามีบทบาทในระบบการเงินของไทยอย่างจริงจังนับแต่นั้นมา
ธนบัตรที่นำออกใช้ตามพระราชบัญญัติธนบัตรสยาม รัตนโกสินทรศก ๑๒๑ นั้น มีลักษณะเป็นตั๋วสัญญาใช้เงินของรัฐบาลที่สัญญาจะจ่ายเงินตราให้แก่ผู้นำธนบัตรมายื่นโดยทันที ต่อมา ในรัชกาลพระบาทสมเด็จพระปกเกล้าเจ้าอยู่หัว มีการประกาศใช้พระราชบัญญัติเงินตรา พุทธศักราช ๒๔๗๑ ซึ่งกำหนดให้เงินตราของประเทศประกอบด้วยธนบัตรและเหรียญกษาปณ์ ตลอดจนให้ธนบัตรและเหรียญกษาปณ์เป็นเงินที่ชำระหนี้ได้ตามกฎหมาย จึงเป็นการเปลี่ยนลักษณะของธนบัตรจากตั๋วสัญญาใช้เงินมาเป็นเงินตราอย่างสมบูรณ์
