สัญญานี้ทำที่ หมู่บ้านกาญจ์กนก19 เลขที่ 259/236 ถ. มหิดล ต.ช้างคลาน อ. เมือง จ. เชียงใหม่

เมื่อวันที่ 1 เดือนมกราคม พ.ศ 2558

ระหว่าง นายมาคุส เพ็ชเค อายุ 50 ปี โดยผู้ มีอำนาจ ล ง น า ม ท้า ย สัญญา ซึ่งต่อไปจะเรียกว่า
"หุ้นส่วนที่ 1" ฝ่ายหนึ่ง กับนางสาวปาณิสรา เพ็ชเค อายุ 30 ปี อยู่ที่ หมู่บ้านกาญจ์กนก 19 เลขที่ 259/236 ถ. มหิดล ต.ช้างคลาน อ. เมือง จ. เชียงใหม่ บัตรประจำตัวประชาชนเลขที่ 1500290000444 ซึ่งต่อไปจะเรียกว่า "หุ้นส่วนที่ 2" คู่สัญญาตกลงทำสัญญากัน โดยมีข้อความดังต่อไปนี้

ข้อ 1. วัตถุประสงค์
คู่สัญญา ตกลงเข้าหุ้นส่วนกัน โดยมีวัตถุประสงค์เพื่อดำเนินซื้อ-ขายไม้,หิน และร้านกาแฟ
และนำกำไร หรือขาดทุนจากการประกอบกิจการดังกล่าวมาแบ่งปันกัน

ข้อ 2. การลงทุน
คู่สัญญาตกลงลงทุนเข้าหุ้นส่วนกันดังต่อไปนี้
2.1 หุ้นส่วนที่ 1 ลงทุนด้วยเงินสดจำนวน 1,200,000บาท (หนึ่งล้านสองแสนบาทถ้วน)
ถือเป็นอัตราส่วนการลงทุนจำนวน100% โดยถือการตอบแทนเป็นเงินเดือน 30,000 บาท
2.2 หุ้นส่วนที่ 2 ลงทุนด้วยสติปัญหาโดยถือการตอบแทนเป็นเงินเดือน 30,000 บาท

ข้อ 3. หน้าที่
3.1 คู่สัญญาหุ้นส่วนที่ 1 เป็นผู้จัดซื้อสินค้า เพื่อนำมาประกอบกิจการซื้อ-ขาย
3.2 คู่สัญญาหุ้นส่วนที่ 2 เป็นผู้ดูแลบริหารจัดการ การตลาด

ข้อ 4. การแบ่งกำไรขาดทุน
การแบ่งกำไร และเฉลี่ยผลขาดทุนระหว่างคู่สัญญา
4.1 กำไรหลังหักค่าใช้จ่ายใดๆ แล้ว แบ่งออกเป็น ดังนี้
กำไร 50% นำไปลงทุนในกิจการ
กำไร 20 % เก็บไว้เป็นเงินทุนของกิจการ
กำไร 30% จ่ายคืนทุน คู่สัญญาหุ้นส่วนที่ 1

ข้อ 5. การจัดการ
ในกิจการของหุ้นส่วน คู่สัญญาหุ้นส่วนที่ 1 ตกลงให้คู่สัญญาหุ้นส่วนที่ 2 เป็นผู้ดูแลกิจการของหุ้นส่วนทั้งหมดตลอดระยะเวลาของการเป็นหุ้นส่วนตามสัญญานี้ เพื่อดำเนินกิจการให้เป็นไปตามวัตถุประสงค์ของ
หุ้นส่วนตามสัญญานี้

สัญญานี้ทำขึ้นเป็นสองฉบับ มีข้อความถูกต้องตรงกัน ทั้งสองฝ่ายได้ทราบ และ
เข้าใจข้อความของสัญญาโดยตลอดดีแล้ว เห็นว่าถูกต้องตรงตามเจตนาของตน จึงได้ลงลายมือชื่อ
และประทับตรา (ถ้ามี) ไว้เป็นสำคัญต่อหน้าพยาน และต่างยึดถือไว้ฝ่ายละฉบับ
