ธนาคารกรุงไทย จำกัด เริ่มเปิดดำเนินการครั้งแรก เมื่อวันที่ 14 มีนาคม 2509 โดยการควบกิจการของธนาคารเกษตร จำกัด และธนาคารมณฑล จำกัด ซึ่งเป็นธนาคารพาณิชย์ที่มีรัฐบาลเป็นผู้ถือหุ้นใหญ่ทั้งคู่ เข้าเป็นธนาคารเดียวกันตามนโยบายของรัฐบาล และได้ใช้ชื่อใหม่ว่า "ธนาคารกรุงไทย จำกัด" ใช้ชื่อภาษาอังกฤษว่า "Krung Thai Bank Limited" ใช้สัญลักษณ์ "นกวายุภักษ์" ซึ่งเป็นเครื่องหมายของกระทรวงการคลัง เป็นสัญลักษณ์ประจำของธนาคารจนถึงปัจจุบัน ในระยะแรกของการก่อตั้งธนาคารกรุงไทย จำกัด ได้ใช้สถานที่สำนักงานใหญ่ของธนาคารเกษตร จำกัด ซึ่งตั้งอยู่ที่ ถนนเยาวราช เป็นที่ทำการสำนักงานใหญ่ และมีสาขารวม 81 แห่ง พนักงาน 1,247 คน สินทรัพย์รวม 4,582.10 ล้านบาท และทุนจดทะเบียน 105 ล้านบาท
วัตถุประสงค์ของการรวมธนาคารทั้งสองให้เป็นธนาคารของรัฐ ที่มีฐานะทางการเงินที่มั่นคง สามารถคุ้มครองผู้ฝากเงิน และบริการลูกค้าได้กว้างขวางขึ้น ตลอดจนสามารถ อำนวยประโยชน์ต่อการพัฒนาเศรษฐกิจของประเทศได้มากขึ้นด้วย ผลการดำเนินงานของธนาคาร ได้ขยายตัวเติบโตขึ้นมาเป็นลำดับ ทำให้อาคารสำนักงานใหญ่เดิมคับแคบไม่สะดวก และไม่คล่องตัว ในการปฏิบัติงาน ธนาคารจึงได้ย้ายที่ทำการสำนักงานใหญ่มาตั้งอยู่ ณ อาคารเลขที่ 35 ถนนสุขุมวิท เมื่อวันที่ 26 พฤศจิกายน 2525 และได้ใช้เป็นที่ทำการสำนักงานใหญ่มาจนถึงปัจจุบัน ในเดือนมีนาคม 2530 ธนาคารกรุงไทย ได้รับมอบหมายให้เข้าไปช่วยบริหารงาน ในโครงการ 4 เมษา ต่อจากธนาคารแห่งประเทศไทย โดยเน้นการบริหารในเชิงธุรกิจ
ต่อมาเมื่อวันที่ 17 สิงหาคม 2530 ธนาคารกรุงไทยได้รับโอนสินทรัพย์และหนี้สินของธนาคารสยาม จำกัด มาบริหารตามนโยบายของกระทรวงการคลัง เนื่องจากการดำเนินธุรกิจของธนาคารสยาม มีปัญหาหลายด้านที่ไม่สามารถแก้ไขได้ในระยะเวลาอันสั้น ทำให้เป็นภาระที่รัฐจะต้องจัดการให้ความช่วยเหลือ ซึ่งไม่ทราบว่าจะสิ้นสุดเมื่อใด และหลังจากการรวมกับธนาคารสยาม จำกัด แล้วธนาคารกรุงไทยจะกลายเป็น ธนาคารพาณิชย์ของรัฐเพียงแห่งเดียว มีสินทรัพย์มากเป็นอันดับสองของประเทศ สามารถจะสนองตอบนโยบาย การเงินการคลังของประเทศ และสามารถแสดงบทบาทความเป็น "ธนาคารนำ" (Lead Bank) ได้
