จริยธรรม คือ กฎเกณฑ์ความประพฤติของมนุษย์ ซึ่งเกิดขึ้นจากธรรมชาติของมนุษย์เอง ความเป็นผู้มีปรีชาญาณ (ปัญญา และ เหตุผล รวมกัน) ทำให้มนุษย์มีมโนธรรม รู้จักแยกแยะความดี ถูก ผิด ควร ไม่ควร

จริยธรรมมีลักษณะ 4 ประการ คือ

1. การตัดสินทางจริยธรรม(moral judgment) บุคคลจะมีหลักการของตนเอง เพื่อตัดสินการกระทำของผู้อื่น
2. หลักการของจริยธรรมและการตัดสินตกลงใจเป็นความสัมพันธ์ที่เกิดขึ้นในตัวบุคคลก่อนที่จะปฏิบัติการต่าง ๆ ลงไป
3. หลักการทางจริยธรรมเป็นหลักการสากลที่บุคคลใช้ตัดสินใจในการการะทำสิ่งต่าง ๆ
4. ทัศนะเกี่ยวกับจริยธรรมได้มาจากความคิดของบุคคลหรืออุดมคติของสังคมจนเกิดเป็นทัศนะในการดำรงชีวิตของตน และของสังคมที่ตนอาศัยอยู่

จะเห็นได้ว่า คุณธรรม หมายถึง หลักของความดี ความงาม ความถูกต้อง ในการแสดงออกทั้งกาย วาจาใจ ของแต่ละบุคคล ซึ่งยึดมั่นไว้เป็นหลักประจำใจในการประพฤติปฏิบัติจนเกิดเป็นนิสัย ซึ่งอาจส่งผลให้การอยู่ร่วมกันในสังคมอย่างมีความสุข จะทำให้เกิดประโยชน์ต่อตนเองและสังคม

จริยธรรม หมายถึง การประพฤติปฏิบัติของบุคคลที่แสดงออกถึงความดีงามทั้งต่อตนเอง ต่อผู้อื่น และต่อสังคม เพื่อให้เกิดความสงบสุข ความเจริญรุ่งเรือง เป็นประโยชน์ต่อสังคมและต่อการพัฒนาประเทศชาติ

จากความหมายของคำว่าคุณธรรมและจริยธรรมดังกล่าว เพื่อให้การพัฒนาคนให้เป็นคนดี คนเก่ง จึงได้มีนักวิชาการนักคิดของไทยพยายามสรุปแนวทางเป็นกรอบสำหรับการพัฒนาคน เรียกว่าทฤษฎีต้นไม้จริยธรรมขึ้น
