ข้อ 2. การแต่งตั้ง

2.1 “………….” ขอแต่งตั้ง “…………” ให้เป็นตัวแทนจำหน่ายผลิตภัณฑ์ในตลาดแต่ผู้เดียวตามข้อตกลงและเงื่อนไขที่ระบุในสัญญานี้

ง. ปฏิบัติตามระเบียบทางการค้า นโยบายและข้อกำหนดตามที่ระบุในสัญญานี้หรือตามคำแนะนำอื่นใดอันมีเหตุผลสมควรตามที่ “………….” จะกำหนดเป็นครั้งคราว และให้ความร่วมมืออย่างใกล้ชิดด้วยความเต็มใจกับผู้แทนของ “…………….” ที่มาสำรวจตลาด

ข้อ 3. ราคาขาย

3.1 ราคาขายผลิตภัณฑ์จะประกอบด้วยค่าใช้จ่ายในการดำเนินการบรรจุ ค่าขนส่ง ค่าธรรมเนียมผ่านพิธีการศุลกากรและค่าภาษีอากร แต่ไม่รวมถึงภาษีมูลค่าเพิ่ม

ข้อ 4. การส่งมอบและการชดเชย

4.1 ผลิตภัณฑ์จะถูกนำไปส่งมอบให้ ณ คลังสินค้าของ......ที่กำหนดโดยไม่คิดค่าขนส่ง หากเกิดการสูญหาย เสียหาย หรือไม่ครบจำนวน “.........” ต้องแจ้งเป็นลายลักษณ์อักษรให้ “.........” ทราบถึงเหตุนั้น ๆ ภายใน 7 วันนับจากวันที่ส่งมอบ หากพ้นกำหนดนี้จะไม่รับผิดชอบในความเสียหายดังกล่าว
4.2 การเรียกร้องค่าชดเชยกรณีผลิตภัณฑ์ไม่ครบจำนวน ซึ่งเกิดจากจำนวนที่แตกแต่งระหว่างใบสั่งซื้อสินค้ากับใบกำกับสินค้าของ “.........” นั้นจะต้องทำเป็นลายลักษณ์อักษรภายใน 7 วัน โดยนับจากวันที่ผลิตภัณฑ์ส่งถึงคลังสินค้าของ “.........” หรือนับจากวันที่ “.........” ได้รับใบกำกับสินค้าของ “.........” แล้วแต่กรณีใดจะเกิดหลังเป็นเกณฑ์ หากพ้นกำหนดนี้ “.........” จะไม่รับผิดชอบในความเสียหายดังกล่าว
4.3 ในกรณีที่ผลิตภัณฑ์ชำรุดหรือเสื่อมสภาพโดยหลังจากที่เก็บไว้ในคลังสินค้า ไม่ว่าในเวลาใด “.........” ตกลงยินยอมที่จะนำผลิตภัณฑ์ประเภท ชนิด คุณภาพ และจำนวนหรือปริมาณเท่าเทียมกันมาเปลี่ยนให้กับ ......... โดยไม่คิดค่าใช้จ่ายหรือคืนเงินค่าผลิตภัณฑ์สำหรับส่วนที่เสียหายให้แก่ ......... โดยไม่มีดอกเบี้ยภายในหนึ่งเดือนนับแต่ได้รับแจ้งถึงเหตุเสียหายหรือเสื่อมสภาพนั้น
