: บริษัท บ.ซึ่งเป็นนิติบุคคลที่จดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย ประกอบธุรกิจหลัก คือ ให้บริการข้อมูลนิติบุคคลออนไลน์ โดยจะรวบรวมข้อมูลนิติบุคคลประกอบด้วย ชื่อนิติบุคคล ที่อยู่ เบอร์โทรศัพท์ รายชื่อคณะกรรมการ ชื่อผู้ถือหุ้น และงบการเงินของนิติบุคคลทั้งหมดที่จดทะเบียนใน ประเทศไทยกว่า 800,000 ราย (ข้อมูล ณ เดือนกันยายน2549) จากกรมพัฒนาธุรกิจการค้า กระทรวงพาณิชย์ และตลาดหลักทรัพย์แห่งประเทศไทย มาทำการประมวลผลและจัดเก็บข้อมูลเหล่านั้นเพื่อให้บริการผ่าน ระบบคอมพิวเตอร์ออนไลน์ ภายใต้เว็บไซต์ของบริษัทฯ บริษัทฯ ให้บริการแก่ ธนาคาร สถาบันการเงิน บริษัท และบุคคลทั่วไปใช้บริการผ่านเว็บไซต์ดังกล่าว โดยชำระค่าบริการ หรือเรียกว่าค่าสมาชิก หลังจากนั้นลูกค้าจะได้รับUSERNAME และ PASSWORD เพื่อทำงาน LOG-IN ผ่านระบบอินเตอร์เน็ต ณ สำนักงานของลูกค้าเพื่อให้ลูกค้าได้เข้ามาค้นหาข้อมูลธุรกิจตามที่ลูกค้าต้องการ โดยบริษัทฯ จะเรียกเก็บ ค่าบริการจากลูกค้าคือ กรณีจำกัดอายุการใช้งานเป็นจำนวนชั่วโมง เช่น คราวละ 25 ชั่วโมง ถึง 200 ชั่วโมง และกรณีไม่จำกัดปริมาณการใช้เป็นชั่วโมงแต่จำกัดอายุการใช้งานคราวละ 1 ปี
บริษัทฯ จึงขอทราบว่า
1. กรณีบริษัทฯ ให้บริการกับสมาชิกแบบจำกัดอายุการใช้งานเป็นชั่วโมง บริษัทฯ จะทำสัญญาเรียกว่า ข้อตกลงสำหรับสมาชิกหรือ MEMBERSHIP AGREEMENT ส่งให้ลูกค้าลงนามสัญญาดังกล่าวอยู่ในบังคับต้องเสียอากรแสตมป์ หรือไม่
2. กรณีบริษัทฯ ให้บริการกับสมาชิกแบบไม่จำกัดปริมาณการใช้เป็นรายชั่วโมงแต่จำกัดอายุการใช้งานคราวละ 1 ปี บริษัทฯ จะทำสัญญาเรียกว่า สัญญาให้บริการข้อมูลนิติบุคคลออนไลน์ (กรณีลูกค้าเป็นเอกชน) หรือสัญญาเช่าใช้บริการข้อมูลออนไลน์ (กรณีลูกค้าเป็นหน่วยงานราชการ)ส่งให้ลูกค้าลงนาม สัญญาดังกล่าวอยู่ในบังคับต้องเสียอากรแสตมป์ หรือไม่
3. กรณีการให้บริการพิเศษ ได้แก่ เมื่อลูกค้าต้องการค้นหาข้อมูลตามเงื่อนไขที่กำหนดไว้ ก็จะแจ้งให้บริษัทฯ ประมวลข้อมูลและค้นหาข้อมูลให้ เรียกว่า การจัดทำรายงานตามความต้องการหรือ CUSTOMIZED REPORT เช่น ลูกค้าต้องการทราบรายชื่อนิติบุคคลทั้งหมดเฉพาะรายที่มียอดขายเกินกว่า 1 พันล้านบาท ก็จะให้บริษัทฯ ดึงรายชื่อนิติบุคคลตามเงื่อนไขดังกล่าวแล้วบันทึกลงในแผ่นซีดีแล้วส่งมอบให้ลูกค้า เป็นต้น บริษัทฯ จะเก็บค่าบริการเป็นต่อครั้งของแต่ละงานโดยจัดทำสัญญาที่เรียกว่า CUSTOMIZED AGREEMENT สัญญาการใช้บริการพิเศษดังกล่าวอยู่ในบังคับต้องเสียอากรแสตมป์ หรือไม่
