2.1 เพื่อขจัดอุปสรรคทางการค้าและบริการระหว่างประเทศภาคีด้วยการยกเลิกภาษีศุลกากรและมาตรการที่มิใช่ภาษีศุลกากรให้แก่กันและกัน NAFTA ได้แบ่งสินค้าออกเป็น 4 กลุ่ม คือ กลุ่ม A ลกเลิกภาษีตั้งแต่วันที่ 1 มกราคม 2537 กลุ่ม B ลดภาษีร้อยละ 20 ต่อปี ภายใน 5 ปี กลุ่ม C ลดภาษีร้อยละ 10 ต่อปี ภายใน 10 ปี และกลุ่ม D ซึ่งเป็นกลุ่มสุดท้าย เป็นสินค้าที่มีความอ่อนไหวมาก จะยกเลิกภาษีภายใน 15 ปี
2.2 ส่งเสริมการแข่งขันที่เป็นธรรมในเขตการค้าเสรี
2.3 ขยายโอกาสการลงทุนในดินแดนของประเทศภาคี
2.4 คุ้มครองสิทธิในทรัพย์สินทางปัญญาอย่างเพียงพอและให้มีการใช้บังคับอย่างจริงจัง
2.5 แก้ไขข้อพิพาททางการค้า
2.6 ส่งเสริมความร่วมมือในระดับต่างๆ คือ ไตรภาคี พหุภาคี และความร่วมมือในภูมิภาค เพื่อขยายและเพิ่มพูนผลประโยชน์ของเขตการค้าเสรีนี้
