จัดหาให้แก่ผู้จัดหา หรือส่งมอบไม่ถูกต้อง หรือไม่ครบจำนวน หรือเห็นว่าผู้รับจัดหาไม่อาจปฏิบัติตามใบสั่งซื้อต่อไปได้ผู้จัดหามีสิทธิบอกเลิกใบสั่งซื้อนี้ทั้งหมด หรือบางส่วนก็ได้

ในกรณีที่ผู้จัดหาใช้สิทธิบอกเลิกใบสั่งซื้อ ถ้าผู้จัดหาจัดหาสิ่งของจากบุคคลอื่นเต็มจำนวน หรือ
เฉพาะจำนวนที่ขาดส่ง แล้วแต่กรณี ภายในกำหนด...............เดือน นับแต่วันบอกเลิกใบสั่งซื้อ ผู้รับจัดหาจะต้อง
ชดใช้ราคาที่เพิ่มขึ้นจากราคาที่กำหนดไว้ในใบสั่งซื้อนี้ด้วย และถ้าผู้จัดหาได้แจ้งข้อเรียกร้องให้ชำระค่าปรับไปยัง
ผู้รับจัดหาเมื่อครบกำหนดส่งมอบแล้ว ผู้จัดหามีสิทธิที่จะปรับผู้รับจัดหา จนถึงวันบอกเลิกใบสั่งซื้อได้อีกด้วย
ข้อ 5. ในกรณีที่ผู้จัดหามิได้ใช้สิทธิบอกเลิกใบสั่งซื้อตาม ข้อ 4 ผู้รับจัดหาจะต้องชำระค่าปรับ
ให้ผู้รับจัดหาเป็นรายวัน ในอัตราร้อยละ 0.2 ของราคาสิ่งของที่ยังไม่ได้รับมอบ นับแต่วันถัดจากวันครบกำหนด
ตามใบสั่งซื้อจนถึงวันที่ผู้รับจัดหาได้นำสิ่งของมาส่งมอบให้แก่ผู้จัดหาจนถูกต้องครบถ้วน
การคิดค่าปรับในกรณีสิ่งของที่ตกลงจัดหาประกอบกันเป็นชุด แต่ผู้รับจัดหาส่งมอบเพียงบางส่วน
หรือขาดส่วนประกอบส่วนหนึ่งส่วนใดไป ทำให้ไม่สามารถใช้การได้โดยสมบูรณ์ ให้ถือว่ายังไม่ได้ส่งมอบ
สิ่งของนั้นเลย และให้คิดค่าปรับจากราคาสิ่งของเต็มทั้งชุด
ข้อ 6. ถ้าผู้รับจัดหาไม่ปฏิบัติตามใบสั่งซื้อนี้ข้อหนึ่งข้อใดด้วยเหตุใด ๆ ก็ตาม จนเป็นเหตุให้เกิด
ความเสียหายแก่ผู้จัดหาแล้ว ผู้รับจัดหาจะต้องชดใช้ค่าเสียหายให้แก่ผู้จัดหาโดยสิ้นเชิง ภายในกำหนด 30 วัน
นับแต่วันที่ได้รับแจ้งจากผู้จัดหา
ข้อ 7. ในกรณีที่มีเหตุสุดวิสัย หรือเหตุใด ๆ อันเนื่องมาจากความผิด หรือความบกพร่องของ
ฝ่ายผู้จัดหา หรือเหตุจากพฤติการณ์อันใดอันหนึ่ง ซึ่งผู้รับจัดหาไม่ต้องรับผิดตามกฎหมาย เป็นเหตุให้ผู้รับจัดหาไม่
สามารถส่งมอบสิ่งของตามเงื่อนไข และกำหนดเวลาตามใบสั่งซื้อนี้ได้ ผู้รับจัดหามีสิทธิขยายเวลาทำการตาม
ใบสั่งซื้อหรือของดหรือลดค่าปรับได้ โดยจะต้องแจ้งเหตุหรือพฤติการณ์ดังกล่าวพร้อมหลักฐานเป็นหนังสือให้
ผู้จัดหาทราบภายใน 15 วัน นับแต่วันที่เหตุนั้นสิ้นสุดลง
ถ้าผู้รับจัดหาไม่ปฏิบัติให้เป็นไปตามวรรคหนึ่ง ให้ถือว่าผู้รับจัดหาได้สละสิทธิเรียกร้องในการที่
จะขยายเวลาทำการตามใบสั่งซื้อ หรือของดหรือลดค่าปรับโดยไม่มีเงื่อนไขใด ๆ ทั้งสิ้น เว้นแต่กรณีเหตุเกิดจาก
ความผิดหรือความบกพร่องของฝ่ายผู้จัดหาซึ่งมีหลักฐานชัดแจ้ง หรือผู้จัดหาทราบดีอยู่แล้วตั้งแต่ต้น
การขยายเวลาทำการตามใบสั่งซื้อ หรือของดหรือลดค่าปรับตามวรรคหนึ่งอยู่ในดุลพินิจของผู้จัดหา
