มีรายละเอียดดังนี้
1.เป็นตัวแทนจำหน่ายสินค้าตามระบุในหนังสือแต่งตั้ง และตามพื้นที่รับผิดชอบเท่านั้น
1.1 สัญญาไม่สามารถถ่ายโอนให้บุคลอื่นได้เว้นเสียแต่จะได้รับความเห็นชอบจากผู้มีอำนาจของบริษัทฯ
1.2 สัญญาจะสิ้นสุดลงตามหนังสือแต่งตั้งหรือเมื่อทำให้ทางบริษัทฯเสียหายทั้งทางตรงและทางอ้อม
1.3 สัญญาจะสิ้นสุดลงเมื่อฝ่ายหนึ่งฝ่ายใดบอกล้างสัญญาหลัง 30 วัน
2.การจ่ายค่าตอบแทนจากการขาย
2.1 เป็นจำนวนต่อกระสอบหรือต่อชุด 2.2 จ่ายผ่านบัญชีธนาคารโดยตรงตามชื่อที่ระบุในหนังสือแต่งตั้ง 2.3 หักภาษี ณ ที่จ่ายก่อนทำการโอนหรือกรณีมีหนี้สิน
3.ค่าตอบแทนจากการสร้างสายงาน ( กรณีถ้ามี )
4.การชำระค่าสินค้า
4.1 ชำระผ่านบัญชีธนาคารเท่านั้น 4.2 ชำระตามวันเวลาตามเอกสารที่แจ้งระบุไว้
5.กรณีผิดเงื่อนไขชำระ ( ต้องไม่มีเจตนา )
5.1 แจ้งเป็นรายลักอักษรพร้อมรีบชำระ 5.2 สินค้าจะไม่มีการจัดส่งกรณีมีการค้างชำระ
6.การจัดส่งสินค้า
6.1 แจ้งรายละเอียดล่วงหน้าอย่างน้อย 3 วัน 6.2 สินค้าไม่ครบหรือมีการชำรุดต้องแจ้งให้ทราบทันที่หลังการรับสินค้า
7.จะชดเชยสินค้าเนื่องจากเกิดความเสียหายที่อยู่ในความรับผิดชอบของบริษัทเท่านั้น
8.การทำการตลาด
8.1 ให้ส่งแผนการตลาด เนื่องจากการขยายพื้นที่ส่งเสริมให้ คู่สัญญา ทราบก่อนล่วงหน้า
8.2 ให้ส่งข้อมูล ผู้รับผิดชอบแต่ละเขตพื้นที่ให้ทราบเพื่อร่วมกันวางแผน
9.ทางผู้ให้สัญญาจะไม่ประสานกับสายงานขาย เว้นแต่ ผู้บริหารสายงานอนุญาต
ข้อตกลงและเงื่อนไขได้จัดทำขึ้น รวม 9 ข้อ ทั้งฝ่ายได้อ่านอย่างเข้าใจจึงลงลายมือชื่อ ถ้าฝ่ายหนึ่งฝ่ายใดละเมิดข้อตกลงให้ฝ่ายผู้เสียหายดำเนินการตามประมวลกฎหมายจนถึงที่สุด
