การโอนหุ้นจะต้องทำเป็นหนังสือลงลายมือชื่อผู้โอนและผู้รับโอน โดยมีพยานอย่างน้อยสองคน (1) คนลงชื่อรับรอง และจะนำมาใช้แก่บริษัทหรือบุคคลภายนอกได้ต่อเมื่อบริษัทจดแจ้งการโอนทั้งชื่อและสำนักของผู้รับโอนนั้นลงในทะเบียนผู้ถือหุ้นแล้ว
