ข้อ 1."ผู้ให้สัญญา" มีความประสงค์ขอรับงานโครงการก่อสร้าง SMILE SQUARE จังหวัดกรุงเทพมหานคร ตามมูลค่างานก่อสร้างที่ตกลงและลงนามทำสัญญาว่าจ้าง ข้อ 2."ผู้ให้สัญญา" ยินดีจ่ายค่าคู่ปรึกษาโครงการแก่ "ผู้รับสัญญา" ในการติดต่อประสานงานหรือชี้ช่องทางให้กับ "ผู้ให้สัญญา" ได้ลงนามทำสัญญารับงานและรับงานต่อเนื่องจากผู้ว่าจ้างจนเป็นผลสำเร็จตามมูลค่างาน ที่ระบุไว้ในข้อที่ 1 ข้อ 3."ผู้ให้สัญญา" ตกลงจ่ายค่าคู่ปรึกษาโครงการแก่"ผู้รับสัญญา" ตามหนังสือสัญญาฉบับนี้จำนวน 3.0% (สามเปอร์เซ็นต์) ของมูลค่างานก่อสร้างที่ตกลงและลงนามทำสัญญาว่าจ้าง โดยจ่ายเป็นแคชเชียร์เช็คดังนี้ -จ่ายจำนวน 1.5% หลังจาก บริษัทฯทำการเซ็นสัญญาว่าจ้างและได้รับเงินเบิกจ่ายล่วงหน้า แก่"ผู้รับสัญญาที่ 1"จำนวน 1% (หนึ่งเปอร์เซ็นต์) และ "ผู้รับสัญญาที่ 2" จำนวน 0.50% (ศูนย์จุดห้าเปอร์เซ็นต์) -จ่ายจำนวน 0.75% หลังจาก บริษัทฯ ได้รับเงินเบิกจ่ายงวดงานที่ 1 แก่ "ผู้รับสัญญาที่ 1" จำนวน 0.50% (ศูนย์จุดห้าเปอร์เซ็นต์) และ "ผู้รับสัญญาที่ 2" จำนวน 0.25% (ศูนย์จุดสองห้าเปอร์เซ็นต์) ของมูลค่างานก่อสร้างที่ตกลงและลงนามทำสัญญาว่าจ้าง
-จ่ายจำนวน 0.75% หลังจาก บริษัทฯ ได้รับเงินเบิกจ่ายงวดงานที่ 1 แก่ "ผู้รับสัญญาที่ 1" จำนวน 0.50% (ศูนย์จุดห้าเปอร์เซ็นต์) และ "ผู้รับสัญญาที่ 2" จำนวน 0.25% (ศูนย์จุดสองห้าเปอร์เซ็นต์) ของมูลค่างานก่อสร้างที่ตกลงและลงนามทำสัญญาว่าจ้าง ข้อ 4. หากมีการเซ็นสัญญางานต่อเนื่องในงานลักษณะเดียวกัน ให้ถือว่าสัญญานี้มีผลต่อเนื่องและงานที่เซ็นสัญญาเพิ่มขึ้นหรือลดลงให้คิดคำนวณจ่ายค่าคู่ปรึกษาตามความเป็นจริงแก่ "ผู้รับสัญญา" ทุกครั้งตามอัตราส่วนเดิม ที่ระบุในข้อ 3. ข้อ 5. ค่าภาษีอากร และค่าฤชาธรรมเนียมต่างๆ "ผู้รับสัญญา" เป็นผู้รับผิดชอบเองทั้งสิ้น ข้อ 6. หนังสือสัญญาฉบับนี้ มีผลบังคับใช้ก็ต่อเมื่อมีการทำสัญญา และมีการค้ำประกันสัญญาให้กับบริษัทฯ เรียบร้อยแล้วเท่านั้น ถ้าหากไม่มีการเซ็นสัญญา และค้ำประกันให้ถือว่าหนังสือสัญญาฉบับนี้เป็นโมฆะ โดยทันที ข้อ 7. สัญญาว่าจ้างฉบับนี้มีกำหนดระยะเวลา ๑ ปี นับแต่วันที่ลงนามในสัญญา ข้อ 8. สัญญาฉบับนี้ใช้สำหรับโครงการ SMILE SQUARE เท่านั้น ข้อ 9. ทั้งสองฝ่ายจะต้องมีความผูกมัดตัวเองกับ ข้อสัญญาดังกล่าว เพื่อรักษาความลับของการดำเนินงาน เพื่อมิให้เกิดความยุ่งยาก หรือการได้รับข้อมูลที่ผิดจากภายนอก ข้อ 10. หนังสือสัญญาฉบับนี้ทำขึ้นเพื่อใช้ในราชอาณาจักรไทย หากฝ่ายหนึ่งฝ่ายใดทำผิดสัญญา สามารถฟ้องร้องบังคับคดีได้ตามประมวลกฎหมายแพ่งและพาณิชย์แห่งราชอาณาจักรไทยทุกประการ หนังสือสัญญาฉบับนี้ทำขึ้นเป็นสามฉบับ ทั้งสามฉบับมีข้อความถูกต้องตรงกับทุกประการ ทั้งสองฝ่าย ได้อ่านและเข้าใจข้อความตรงกันโดยตลอดแล้ว เพื่อเป็นหลักฐาน จึงลงลายมือชื่อและประทับตรานิติบุคคล ไว้เป็นหลักฐานสำคัญต่อหน้าพยาน
