ประวัติการบินไทย สายการบินแห่งชาติ การบินไทย บริษัท การบินไทย จำกัด ( มหาชน ) เป็นรัฐวิสาหกิจ ในสังกัดกระทรวงคมนาคม ดำเนินกิจการในด้านการบินพาณิชย์ในประเทศ และระหว่างประเทศ ในฐานะสายการบินแห่งชาติ โดยเฉพาะอย่างยิ่ง เป็นรัฐวิสาหกิจของชาติ ที่ดำเนินกิจการแข่งขันกับต่างประเทศ ในธุรกิจการบินโลก และเป็นรัฐวิสาหกิจที่สามารถทำกำไรต่อเนื่องเรื่อยมา ทั้งยังได้รับการยกย่องในด้านต่างๆ ให้อยู่ในระดับสายการบินชั้นนำของโลกเสมอมา

ประวัติการบินไทย
การบินไทยเริ่มก่อตั้งขึ้นโดยการทำสัญญาร่วมทุนระหว่าง บริษัท เดินอากาศไทย จำกัด กับสายการบินสแกนดิเนเวียน แอร์ไลน์ ซิสเต็ม หรือใช้ชื่อย่อว่า เอส เอ เอส เมื่อวันที่ 24 สิงหาคม 2502 โดยมีวัตถุประสงค์เพื่อดำเนินธุรกิจการบิน ระหว่าง ประเทศ และได้จดทะเบียนเป็นบริษัทจำกัด เมื่อวันที่ 29 มีนาคม 2503 ด้วยทุน จดทะเบียน 2 ล้านบาท โดยบริษัท เดินอากาศไทย จำกัด ถือหุ้นร้อยละ 70 และ เอส. เอ. เอส. ถือหุ้นร้อยละ 30 ของทุนจดทะเบียน

ต่อมา เมื่อวันที่ 30 มีนาคม 2520 เอส. เอ. เอส. ได้โอนหุ้นที่มีอยู่ทั้งหมดให้แก่ บริษัท เดินอากาศไทย จำกัด และถือเป็น การยกเลิกสัญญาร่วมทุน ก่อตั้งขึ้นในปีพุทธศักราช 2503 โดย บริษัท เดินอากาศไทย จำกัด กับบริษัทสายการบินสแกนดิเนเวียนแอร์ไลน์ ซิสเต็มหรือใช้ชื่อย่อว่า เอส เอ เอส ได้ร่วมลงทุนกิจการด้วยทุนเพียง 2 ล้านบาท โดยเดินอากาศไทยถือหุ้นร้อยละ 70 และ เอส เอ เอส ถือหุ้นร้อยละ 30 ซึ่งในเวลาต่อมาได้มีการเพิ่มทุนอย่างเป็น ขั้นตอนตลอดมาจนถึงปีพุทธศักราช 2520 บริษัท เดินอากาศไทย ได้ซื้อหุ้นทั้งหมดคืนจาก เอส เอ เอส ตามมติ คณะรัฐมนตรี และมอบโอนหุ้นที่ซื้อมาให้กระทรวงการคลัง ดังนั้น การบินไทย จึงเป็นสายการบินของคนไทยอย่างแท้จริง และมี บริษัท เดินอากาศไทยกับกระทรวงการคลัง เป็นผู้ร่วมถือหุ้น

ต่อมาเมื่อวันที่1 เมษายน 2531 คณะรัฐมนตรีได้มีมติให้ดำเนินการรวมกิจการการบินภายในประเทศที่ดำเนินการ โดยบริษัท เดินอากาศไทย จำกัด เข้ากับกิจการของบริษัทฯ เป็นผลให้เงินทุนจดทะเบียนของบริษัทฯ เพิ่มขึ้นเป็น 2,230 ล้านบาท โดยมีกระทรวงการคลังเป็นผู้ถือหุ้นรายใหญ่ ดังนั้นบริษัทฯ จึงเป็นสายการบินแห่งชาติที่รับผิดชอบกิจการ การบินพาณิชย์ ทั้งเส้นทางบินระหว่างประเทศ และเส้นทางบินภายในประเทศทั้งหมด และเมื่อวันที่ 25 มิถุนายน 2534 มีการเปลี่ยนแปลงนโยบายการดำเนินธุรกิจที่สำคัญเกิดขึ้น โดยคณะรัฐมนตรี มีมติให้ดำเนินการดังนี้
1. นำบริษัท ฯ เข้าจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย
2. เพิ่มทุนจดทะเบียนอีกจำนวน 3,000 ล้านบาท โดยนำหุ้นเพิ่มทุนส่วนแรกจำนวน 100 ล้านหุ้น ในราคาตามมูลค่าหุ้นที่ตราไว้หุ้นละ 10 บาท ออกจัดสรรก่อน
3. ให้จัดหุ้นสามัญเพิ่มทุนจำนวน 5 ล้านหุ้น ขายให้พนักงานเจ้าหน้าที่ของบริษัทฯ ในราคาตามมูลค่าหุ้นที่ตราไว้หุ้นละ 10 บาท
4. จัดสรรหุ้นสามัญเพิ่มทุนส่วนที่เหลืออีกจำนวน 95 ล้านหุ้น เสนอขายประชาชนทั่วไป

ทั้งนี้ มีวัตถุประสงค์หลัก เพื่อเป็นการระดมทุนจากภาคเอกชน อันจะทำให้การบินไทย มีศักยภาพในการแข่งขันด้านการพาณิชย์ รวมทั้งเป็นการให้ประชาชนและพนักงาน ได้มีส่วนร่วมเป็นเจ้าของสายการบินแห่งชาติด้วยบริษัทฯ เข้าจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทยเมื่อวันที่ 19 กรกฎาคม 2534 โดยได้ทำการแปลงกำไรสะสมให้เป็นหุ้นเพิ่มทุนทำให้บริษัทฯ มีทุนจดทะเบียนเป็น13,000 ล้านบาท และทำการเพิ่มทุน จดทะเบียนใหม่อีกจำนวน 3,000 ล้านบาท รวมเป็นทุนจดทะเบียน 16,000 ล้านบาท เป็นทุนชำระแล้ว 14,000 ล้านบาท โดยกระทรวงการคลัง ถือหุ้นร้อยละ 79.5 และธนาคารออมสินถือหุ้นร้อยละ 13.4 ส่วนที่เหลืออีกร้อยละ 7.1 กระจายสู่นักลงทุนทั่วไป ทั้งในและต่างประเทศ รวมทั้งพนักงานของบริษัทฯ และในวันที่20-21 พฤศจิกายน 2546 บริษัทฯ ได้เสนอขายหุ้นสามัญแก่ประชาชนทั่วไปจำนวน 442.75 ล้านหุ้น ตามมติคณะรัฐมนตรีเมื่อวันที่ 14 มีนาคม 2543 วันที่ 20 สิงหาคม 2545 และวันที่ 16 กันยายน 2546 โดยหุ้นที่เสนอดังกล่าว เป็นหุ้นเพิ่มทุน 285,000,000 หุ้น และหุ้นเดิมของกระทรวงการคลัง 157,750,000 หุ้น โดยเงินที่ได้จากการเสนอขายหุ้นครั้งนี้ บริษัทฯ จะนำไปใช้ในการลงทุนในโครงการท่าอากาศยานสุวรรณภูมิ การปรับปรุงผลิตภัณฑ์บนเครื่องบิน และเป็นเงินทุนหมุนเวียนของบริษัทฯ
ตั้งแต่เดือน กันยายน 2547 บริษัทฯได้จำหน่ายหุ้นให้กับพนักงานจำนวน 13,896,150 หุ้น ในราคาหุ้นละ 15 บาท ภายใต้โครงการจัดสรรหลักทรัพย์ให้พนักงาน (Employee Securities Option Plan) โดยบริษัทฯ จะยังคงจำหน่ายหุ้นให้กับพนักงานที่ถือใบสำคัญแสดงสิทธิในการซื้อหุ้นภายใต้โครงการดังกล่าวจนกระทั่งสิ้นสุดโครงการในเดือนเมษายน 2549
