2.มีมติประชุมเฉพาะการ ด้วยการลงคะแนนเสียงอย่างน้อย สองในสามของผู้เข้าร่วมประชุม และมีหุ้นจำนวนอย่างน้อย80%ของหุ้นที่ได้ชำระแล้ว
3.ต้องนำไปจดทะเบียนภายใน10วันนับแต่วันที่ลงมติ ตามมาตรา149
