กรุงเทพมหานคร ซึ่งต่อไปในสัญญานี้จะเรียกว่า “ตัวแทน” อีกฝ่ายหนึ่ง ทั้งสองฝ่ายตกลงทำสัญญากันมีข้อความดังนี้
ข้อ.1 ตัวการตกลงแต่งตั้งให้ตัวแทนเป็นผู้มีอำนาจเป็นผู้แทนจำหน่าย.................................................
.................................................ซึ่งเป็นสินค้าของตัวการในเขตจังหวัด..............................................................
แต่ผู้เดียว โดยมีกำหนดระยะเวลา 3 ปี นับแต่วันที่ทำสัญญาฉบับนี้เป็นต้นไป
ข้อ 2. ตัวแทนตกลงรับเป็นตัวแทนจำหน่ายสินค้าของตัวการตามที่กล่าวมาข้างต้น โดยจะกระทำการดังกล่าวด้วยความซื้อสัตว์สุจริต สนับสนุนและเสริมสินค้าของตัวการให้เป็นที่นิยมอย่างเพร่หลายและรับว่าจะไม่ทำการอย่างหนึ่งอย่างใดให้เป็นที่เสื่อมเสีย และกระทบกระเทือนต่อการจำหน่ายสินค้าดังกล่าว
ข้อ 3. ตัวการจะเป็นผู้กำหนดราคาสินค้าและแจ้งให้ตัวแทนทราบ ตัวแทนจะต้องจำหน่ายสินค้าในราคาที่ตัวการกำหนด
ข้อ 4. ตัวแทนตกลงว่าในระหว่างอายุสัญญานี้ ตัวแทนจะไม่จำหน่ายสินค้าชนิดเดียวกันหรือเป็นตัวจำหน่ายสินค้าชนิดเดียวกันหรือประเภทเดียวกันให้แก่บุคคลอื่นอีก ไม่ว่ากระทำในนามของตนเองหรือบุคคลอื่นใด
ข้อ 5. ตัวการจะเป็นผู้นำสินค้าไปส่งให้แก่ตัวแทนตามภูมิลำเนาของตัวแทนที่ระบุไว้ในสัญญานี้ หลังจากที่ได้รับสินค้าแล้วตัวแทนจะต้องลงชื่อในเอกสารใบรับสินค้าแล้วนำสินค้าไปเก็บรักษาไว้ในสถานที่ที่มีความปลอดภัย ไม่ทำให้สินค้าเสื่อมคุณภาพหรือได้รับความเสียหายทั้งต้องทำบัญชีรายการจำนวนสินค้าที่ได้รับ จำนวนสินค้าที่จำหน่ายหรือขายได้ และส่งสำเนาบัญชีรายการสินค้าดังกล่าวให้ตัวแทนทราบทุกๆ ระยะเวลา 4 เดือน
ข้อ 6. ตัวการตกลงจะจ่ายค่าบำเหน็จให้แก่ตัวแทนในอัตราร้อยละ 5 ตามราคาสินค้าที่จำหน่ายได้โดยจะจ่ายค่าบำเหน็จให้ภายในกำหนด 15 วัน หลังจากที่ได้รับสำเนาบัญชีรายการสินค้าที่จำหน่ายได้แล้ว
ข้อ 7. ตัวแทนจะต้องกระทำการจำหน่ายสินค้าด้วยตนเอง จะแต่งตั้งให้บุคคลใดเป็นตัวแทนช่วงในการจำหน่ายสินค้าไม่ได้
ข้อ 8. เมื่อตัวการมีความประสงค์จะทราบความเป็นไปของการที่ได้มอบหมายแก่ตัวแทนนั้น ในเวลาใด ๆ ซึ่งสมควรแกเหตุ ตัวแทนก็ต้องแจ้งให้ทราบและเมื่อการเป็นตัวแทนสิ้นสุดลงแล้ว ตัวแทนต้องแถลงบัญชีด้วย
ข้อ 9. เงินและทรัพย์สินอย่างอื่น หรือสิทธิใด ๆ บรรดาที่ตัวแทนได้รับไว้เกี่ยวด้วยการเป็นตัวแทนนั้น ตัวแทนต้องส่งให้แก่ตัวการจงสิ้น
ข้อ 10. ถ้าตัวแทนเอาเงินซึ่งควรจะได้ส่งแก่ตัวการไปใช้เป็นประโยชน์ตนเสีย ตัวแทนจะต้องเสียดอกเบี้ยในเงิน จำนวนนั้นในอัตราร้อยละ 15 ต่อปีนับแต่วันที่ได้เอาเงินนั้นใช้ไป แต่ทั้งนี้ไม่เป็นการตัดสิทธิของตัวการที่จะนำมาเป็นเหตุบอกเลิกสัญญาตัวแทน
ข้อ 11. เมื่อสัญญาตัวแทนระงับสิ้นไปไม่ว่าเพราะเหตุใด ๆ ตัวแทนต้องส่งมอบสินค้า เงินและทรัพย์สินอื่น ๆ ที่ตัวแทนได้รับไว้เกี่ยวด้วยการเป็นตัวแทนให้แก่ตัวการโดยพลัน
สัญญาฉบับนี้ทำขึ้นเป็นสองฉบับมีข้อความถูกต้องตรงกัน คู่สัญญาทั้งสองฝ่ายได้อ่านและเข้าใจข้อความโดยตลอดแล้ว เห็นว่า ถูกต้องตรงตามวัตถุประสงค์ของทั้งสองฝ่าย จึงได้ลงลายมือชื่อให้ไว้เป็นหลักฐานต่อหน้าพยานสองคนโดยต่างยึดถือไว้ฝ่ายละฉบับ
