กรณีที่ผู้ประกอบพาณิชยกิจเป็นคนต่างด้าว หรือนิติบุคคลที่ตั้งขึ้นตามกฎหมายต่างประเทศที่มาตั้งสำนักงานสาขาในประเทศไทย จะต้องตรวจสอบดูด้วยว่ากิจการค้าที่ดำเนินการนั้นต้องได้รับอนุญาตตามพระราชบัญญัติการประกอบธุรกิจของคนต่างด้าว พ.ศ.2542 หรือไม่ หากเป็นกิจการค้าที่ต้องได้รับอนุญาต ผู้ประกอบพาณิชยกิจจะต้องได้รับอนุญาตให้ประกอบกิจการค้าก่อนยื่นจดทะเบียน
