สัญญาซื้อขายเครื่องจักร

สัญญาฉบับนี้ทำขึ้น ณ บริษัท วีเอ็น-เทค ออโตเมชั่น จำกัด สำนักงานเลขที่ 89/183 หมู่ที่ 5 ถนนเทพารักษ์ ตำบลบางพลีใหญ่ อำเภอบางพลี จังหวัดสมุทรปราการ เมื่อวันที่ 21 กรกฏาคม 2559 ระหว่าง

IFB INDUSTRIES CO.,LTD โดย MR.RAMESH GIRIRADDI กรรมการผู้มีอำนาจ สำนักงานเลขที่ 7/247 ม.6 ตำบลมาบยางพร อำเภอปลวกแดง จังหวัดระยอง 21140 (ปรากฏตามหนังสือรับรองบริษัทจากสำนักงานทะเบียนพาณิชย์ ประเทศไทย เอกสารท้ายสัญญา) ซึ่งต่อไปในสัญญานี้เรียกว่า “ผู้ซื้อ” กับ

บริษัท วีเอ็น-เทค ออโตเมชั่น จำกัด โดย นางสาวจุไรภรณ์ รอดเกิด กรรมการผู้มีอำนาจ
สำนักงานเลขที่ 89/183 หมู่ที่ 5 ถนนเทพารักษ์ ตำบลบางพลีใหญ่ อำเภอบางพลี จังหวัดสมุทรปราการ (ปรากฏตามหนังสือรับรองของสำนักงานทะเบียนหุ้นส่วนบริษัท สมุทรปราการ เอกสารท้ายสัญญา ) ซึ่งต่อไปในสัญญานี้เรียกว่า “ผู้ขาย”

คู่สัญญาทั้งสองฝ่ายได้ตกลงกันมีข้อความดังต่อไปนี้

ข้อ 1. ข้อตกลงซื้อขาย
ผู้ซื้อตกลงซื้อและผู้ขายตกลงขายเครื่องจักรพร้อมอุปกรณ์ ซึ่งต่อไปในสัญญานี้เรียกว่า “สินค้า” โดยมี รายละเอียดสินค้าดังต่อไปนี้
1. REMOVAL ARM FOR MORI FB400-FD จำนวน 1 ชุด
2. COUNTERBORE & DRILLING MACHINE จำนวน 1 ชุด
3. REPLACEMENT PLC MORI FIENBLANKING 250TON จำนวน 1 ชุด
4. ค่าขนส่ง CIF KOLKATA , ค่าใช้จ่ายในการติดตั้งเครื่องจักรทั้งหมด
5. ไม่รวมถึงค่าใช้จ่ายในการดำเนินพิธีการศุลกากร และค่ารถขนส่งในประเทศอินเดีย และ ภาษีมูลค่าเพิ่ม

รวมเป็นราคาค่าสินค้าทั้งสิ้น จำนวน 151,000 USD.
ผู้ขายรับรองว่าสินค้าที่ขายให้ตามสัญญานี้เป็นของแท้ ของใหม่ ไม่เคยใช้งานมาก่อน ไม่เป็นของเก่า
เก็บ มีคุณภาพและคุณสมบัติไม่ต่ำกว่าที่กำหนดไว้ ในรายละเอียดสินค้า เอกสารแนบท้ายสัญญา
ข้อ 2. เอกสารอันเป็นส่วนหนึ่งของสัญญา
เอกสารแนบท้ายสัญญา ดังต่อไปนี้ ให้ถือเป็นส่วนหนึ่งของสัญญานี้
2.1 หนังสือรับรองบริษัทผู้ขาย (เอกสารแนบท้ายสัญญา)
2.2 หนังสือรับรองบริษัทผู้ซื้อ (เอกสารแนบท้ายสัญญา)
2.3 ใบเสนอราคาเลขที่ VNT-160120-002,VNT-160310-024,VNT-0707-063 รายละเอียดสินค้า (เอกสารแนบท้ายสัญญา)

ความใดในเอกสารแนบท้ายสัญญา ที่ขัดแย้ง กับข้อความ ในสัญญานี้ ให้ใช้ข้อความในสัญญานี้บังคับ และในกรณีที่เอกสารแนบท้ายสัญญา ขัดแย้งกันเอง ผู้ขายจะต้องปฏิบัติตามคำวินิจของผู้ซื้อ

ข้อ 3. การส่งมอบ
ผู้ขายจะส่งมอบสินค้าตามสัญญา ให้แก่ผู้ซื้อ ณ IFB INDUSTRIES CO.,LTD จำกัด ตามกำหนดส่งมอบสินค้า ดังต่อไปนี้

ข้อ 3.1 REMOVAL ARM FOR MORI FB400-FD , COUNTERBORE & DRILLING MACHINE,REPLACEMENT PLC MORI FB250-FD ตลอดจนอุปกรณ์ต่าง ๆ ที่ เกี่ยวข้อง กำหนดส่งมอบสินค้าและติดตั้งให้แก่ผู้ซื้อ ภายในวันที่ 90 วันทำการ หลังจากได้รับใบสั่งซื้อและการโอนเงินเสร็จสมบูรณ์แล้ว

ข้อ 4. การชำระเงิน
ผู้ซื้อตกลงชำระเงินค่าสินค้าตามข้อ 1 ให้แก่ผู้ขาย โดยแบ่งเป็นงวด ดังต่อไปนี้

งวดที่ 1
1.ชำระเงินมัดจำ จำนวน 50% ของมูลค่าสินค้าทั้งหมด คิดเป็นจำนวน 75,500 USD. จ่ายให้ภายใน 7 วัน โดยการโอนเงินเข้าบัญชี บริษัท VN-TECH AUTOMATION CO., LTD. ธนาคาร Kasikorn Bank สาขา Tesco Lotus Amatanakorn Chonburi branch เลขที่บัญชี 700-2-43198-4

งวดที่ 2
1.ชำระเงิน 40% ของมูลค่าสินค้าทั้งหมด คิดเป็นจำนวน 60,400 USD. ภายใน 7 วัน หลังได้ตรวจรับเครื่องและทำการเดินเครื่องผลิตจริง ที่บริษัท วีเอ็น-เทค ออโตเมชั่น จำกัด ก่อนส่งออก โดยการโอนเงินเข้าบัญชี บริษัท VN-TECH AUTOMATION CO., LTD. ธนาคาร Kasikorn Bank สาขา Tesco Lotus Amatanakorn Chonburi branch เลขที่บัญชี 700-2-43198-4

งวดที่ 3
ชำระเงิน จำนวน 10% ของมูลค่าสินค้าทั้งหมด คิดเป็นจำนวน 15,100 USD. ภายใน 7 วัน หลังสิ้นสุดการติดตั้งและส่ง มอบเครื่องจักรดังกล่าว ที่ IFB INDUSTRIES CO.,LTD KOLKATA เรียบร้อยแล้ว โดยการโอนเงินเข้าบัญชี บริษัท VN-TECH AUTOMATION CO., LTD. ธนาคาร Kasikorn Bank สาขา Tesco Lotus Amatanakorn Chonburi branch เลขที่บัญชี 700-2-43198-4
ข้อ5.ในกรณีที่คู่สัญญาฝ่ายใดประพฤติผิดสัญญานี้แต่เพียงข้อหนึ่งข้อใดคู่สัญญาอีกฝ่ายหนึ่งชอบที่จะฟ้องร้องบังคับคดีต่อศาลได้ทันที ผู้ที่เป็นฝ่ายผิดสัญญาตกลงจะชำระดอกเบี้ยให้แก่อีกฝ่ายที่ชอบในอัตราร้อยละ 15 ต่อปี
สัญญานี้ถูกทำขึ้นเป็นสองฉบับ มีข้อความถูกต้องตรงกัน ทั้งสองฝ่ายได้อ่านและได้ทราบข้อความโดยตลอดแล้ว เห็นว่าถูกต้องตามความประสงค์ เพื่อเป็นหลักฐานจึงได้ลงลายมือชื่อไว้เป็นสำคัญต่อหน้าพยาน และต่างยึดถือฝ่ายละฉบับ
