ข้าพเจ้า บริษัท พีพีแอล รับเบอร์ แอนด์ ฟุตแวร์ จำกัด ( PPL RUBBER & FOOTWEAR CO,. LTD ) ตั้งอยู่ เลขที่ 8/23 หมู่ที่ 4 ตำบลคลองมะเดื่อ อำเภอกระทุ่มแบน จังหวัดสมุทรสาคร โดยนายบดินทร์ เจริญ อายุ……..ปี และนายธนพนธ์ พรมเกตุ อายุ……..ปี ซึ่งทั้งสองคนในฐานะกรรมการผู้จัดการของบริษัท มีอำนาจลงนามผูกพันบริษัทปรากฏตามหนังสือรับรองของบริษัทแนบท้ายสัญญานี้ ซึ่งต่อไปนี้เรียกว่า “ ผู้กู้ ” ฝ่ายหนึ่ง กับ
บริษัท ลีออนเซนท์ เทรดดิ้ง ( LYON SINT TRADING CO,. LTD ) ตั้งอยู่เลขที่……………... ถนน............................เมือง........................รัฐ..............................ประเทศมาเลเชีย ( MALAYSAI ) โดยนาย.............................................อายุ..........ปีถือหนังสือเดินทางเลขที่ สัญชาติมาเลชีย และนาย..............................................อายุ..........ปี ถือหนังสือเดินทางเลขที่....................................... สัญชาติมาเลชีย ซึ่งทั้งสองคนในฐานะกรรมการผู้จัดการบริษัท มีอำนาจลงนามผูกพันบริษัท ปรากฏตามหนังสือรับรองของบริษัทแนบท้ายสัญญานี้ ซึ่งต่อไปนี้เรียกว่า “ ผู้ให้กู้ ”
โดยทั้งสองฝ่ายได้ตกลงกันซึ่งมีข้อดังต่อไปนี้
ข้อ 1. ผู้ให้กู้ ตกลงให้ผู้กู้ ยืมเงินเป็นเงินจำนวน 5,000 ,000 บาท ( ห้าล้านบาทถ้วน โดยผู้กู้นำไปใช้ในกิจการทางการค้าของผู้กู้ ซึ่งผู้ให้กู้จะส่งมอบเงินให้แก่ผู้ยืม โดยวิธีโอนเงินผ่านทางธนาคารของประเทศมาเลเซียเข้าบัญชีเงินฝากธนาคารของผู้กู้ที่ประเทศไทย ชื่อธนาคาร………………..…….สาขา……………………….ชื่อบัญชี………...……….…… และเลขที่บัญชี………………………..…………. ดังนี้
1.1 ผู้ให้กู้จะโอนเงินค่าจ้างให้แก่ผู้รับจ้างครั้งแรก จำนวน 1,500,000 บาท (หนึ่งล้านห้าแสนบาทถ้วน) 1.2 ผู้ให้กู้จะโอนเงินค่าจ้างให้แก่ผู้รับจ้างครั้งที่สอง จำนวน 1,500,000 บาท (หนึ่งล้านห้าแสนบาทถ้วน)
1.3 ผู้ให้กู้จะโอนเงินค่าจ้างให้แก่ผู้รับจ้างครั้งที่สาม จำนวน 1,000,000 บาท (หนึ่งล้านบาทถ้วน)
1.4 ผู้วให้กู้จะโอนเงินค่าจ้างให้แก่ผู้รับจ้างครั้งที่ สี่ จำนวน 1,000,000 บาท (หนึ่งล้านบาทถ้วน)
โดยการโอนเงินค่าจ้างให้แก่ผู้รับจ้างตามข้อ 1.1 ถึงข้อ 1.4 นั้นผู้ว่าจ้างจะดำเนินการโอนให้เสร็จเรียร้อยภายใน 10 วัน ไม่รวมวันหยุดเสาร์ และวันอาทิตย์ นับแต่วันที่ได้ทำสัญญาฉบับนี้ โดยการโอนเงินให้แก่ผู้กู้นั้น ผู้กู้ตกลงเป็นผู้รับภาระเงินค่าธรรมเนียม หรือค่าบริการอื่นใดเกี่ยวกับการโอนเงินที่ธนาคารเรียกเก็บ และยินยอมให้มีการหักเงินค่าธรรมเนียมดังกล่าวจากจำนวนเงินโอนในแต่ละครั้งนั้นๆ
ข้อ 2.ผู้กู้ตกลงให้ผู้ให้กู้คิดดอกเบี้ยเงินกู้จำนวนในอัตราร้อยละ 15 ต่อปี ของต้นเงินดังกล่าว นับตั้งแต่วันที่ทำสัญญาฉบับนี้เป็นต้นไปจนกว่าจะชำระเสร็จสิ้น ข้อ 3.ผู้กู้ตกลงจะชำระหนี้ต้นเงิน พร้อมดอกเบี้ยคืนให้แก่ผู้ให้กู้ครบถ้วนภายในกำหนดระยะเวลา 6เดือน เป็นเงินบาทนับแต่วันที่ได้รับเงินกู้ยืมมครบถ้วน หรือข้อ.3 ผู้กู้สัญญาว่าจะชำระต้นเงินพร้อมดอกเบี้ยคืนให้แก่ผู้ให้กู้ครบถ้วนโดยการผ่อนชำระเป็นจำนวน…………งวดเดือน เดือนละ…………..……..บาท (………………………………………………)
เริ่มตั้งแต่เดือน…………….ทุกวันที่……………………เป็นต้นไปจนกว่าชำระเสร็จสิ้น ภายในระยะเวลา 6 เดือน
ข้อ 4.ในกรณีที่ผู้กู้ผิดนัดชำระเงินกู้ไม่ว่าจะเป็นเงินในส่วนของเงินต้น หรือดอกเบี้ยผู้กู้ยอมให้ผู้ให้กู้คิดดอกเบี้ยสำหรับเงินกู้ที่ยังคงค้างชำระทั้งหมดในอัตราร้อยละ 7.5 ต่อปี นับแต่เวลาที่ผิดนัดชำระเงินนั้นเป็นต้นไป
ข้อ 5. ผู้ให้กู้ตกลงยอมรับเอาสิ่งของ หรือทรัพย์สินอย่างอื่นแทนการชำระหนี้เงินจากผู้กู้ โดยการยอมรับชำระหนี้เอาสิ่งของ หรือทรัพย์สินอย่างอื่นจากผู้กู้แทนหนี้เงินนั้น ต้องมีราคา คิดเป็นจำนวนเท่ากับราคาท้องตลาดแห่งสิ่งของ หรือทรัพย์สินนั้นในเวลา และ ณ สถานที่ส่งมอบ
ข้อ 6.ผู้กู้ตกลงชำระหนี้เงินให้กู้ด้วยวิธีดังนี้
6.1).โดยวิธีการโอนชำระเงินผ่านบัญชีธนาคาร.......................ชื่อบัญชี.................บัญชีเลขที่..........................................ซึ่งการโอนชำระหนี้เงินดังกล่าว หากมีค่าธรรมเนียมในการโอนผู้กู้ต้องเป็นผู้ออกค่าใช้จ่ายแต่ฝ่ายเดียว
6.2).ชำระหนี้เงิน ณ ภูมิลำเนา ของตัวแทนผู้ให้กู้ นายกกฤษณะชัย ไกรบวรวิชญ์ เลขที่ 965/11 หมู่บ้านพฤษาวิลล์ 16 ถนนรังสิต – นครนายก ตำบลประชาธิปัตย์ อำเภอธัญบุรี จังหวัดปทุมธานี
ข้อ.7 บรรดาหนังสือบอกกล่าว ทวงถาม หรือหนังสืออื่นใดที่ผู้ให้กู้จะส่งให้แก่ให้กู้นั้นไม่ว่าจะส่งทางไปรษณีย์ลงทะเบียนหรือไม่ลงทะเบียน หรือให้คนนำไปส่งเองก็ดี หรือการส่งทางจดหมายอีเล็กทรอนิกส์ E-MAIL(อีเมลล์) ถ้าหากได้ส่ง ตามภูมิลำเนา สถานที่ที่ระบุไว้ข้างต้น หรือชื่อที่อยู่ทางจดหมายอิเล็กทรอนิกส์ E-MAIL(อีเมลล์) อีเมลล์ ของสัญญานี้แล้วให้ถือว่าเป็นการส่งโดยชอบด้วยกฎหมาย และหากส่งให้ไม่ได้เพราะ หรือสถานที่ ณภูมิลำเนาของผู้กู้ ดังกล่าวเปลี่ยนแปลง รื้อถอนไปโดยผู้กู้ไม่มีการแจ้งให้ผู้ให้กู้ทราบล่วงหน้าเป็นลายลักษณ์อักษร หรือเปลี่ยแปลงชื่ออีเมลล์ใหม่โดยไม่แจ้งหู้ให้กู้ทราบ การส่งหนังสือต่าง ๆของผู้ให้กู้ ที่ได้ส่งไปแล้วให้ถือว่าชอบด้วยกฎหมาย และการส่งหนังสือใดๆของผู้กู้ถึงผู้ให้กู้นั้น ต้องส่งทางไปรษณีย์ลงทะเบียนตอบรับ ส่งมายังตัวแทนของผู้ให้กู้ ถึงนายกกฤษณะชัย ไกรบวรวิชญ์ เลขที่ 965 /11 หมู่บ้านพฤษาวิลล์ 16 ถนนรังสิต – นครนายก ตำบลประชาธิปัตย์ อำเภอธัญบุรี จังหวัดปทุมธานี และหากมีการส่งทางจดหมายอิเล็กทรอนิกส์ E-MAIL(อีเมลล์)ให้ผู้กู้ส่งมาที่ [e-mail] ให้ถือว่าชอบด้วยกฎหมาย
ข้อ.8 ในกรณีที่มีความตกลงอื่นใดที่นอกเหนือจากข้อตกลงในสัญญาฉบับนี้แล้ว และข้อตกลงใหม่ที่จะดำเนินความตกลงกันนั้นไม่เป็นการขัดหรือแย้งกับข้อตกลงเดิม คู่สัญญาทั้งสองฝ่ายให้สัญญาว่าจะทำบันทึกข้อตกลงไว้เป็นลายลักษณ์อักษรลงลายมือชี่อทั้งสองฝ่ายแนบท้ายสัญญา ฉบับนี้ และบันทึกข้อตกลงดังกล่าวที่แนบไว้ท้ายสัญญาให้ถือเป็นส่วนหนึ่งของสัญญาฉบับนี้ด้วย
ข้อ 9.เพื่อการประกันการชำระหนี้เงินกู้ของผู้กู้ตามสัญญาฉบับนี้ ผู้กู้และผู้ให้กู้ยินยอมให้มีบุคคลต่อไปนี้ป็นผู้ค้ำประกันคือ
