การที่ฝ่ายใดไม่ได้เรียกร้องให้อีกฝ่ายปฏิบัติตามข้อกำหนด และหรือเงื่อนไขตามบันทึกข้อตกลงฉบับนี้ทั้งหมดหรือบางส่วน หรือละเลยไม่แจ้งให้ทราบถึงการผิดข้อตกลงหรือการไม่ปฏิบัติตามข้อตกลงนับตั้งแต่วันที่ทราบ หรือผ่อนผันระยะเวลาในการชำระหนี้ไม่ถือเป็นเหตุให้ฝ่ายที่ปฏิบัติผิดข้อตกลงหลุดพ้นจากการผูกพันในการปฏิบัติตามข้อกำหนด และหรือเงื่อนไขตามบันทึกข้อตกลงฉบับนี้ต่อไป
