ผู้ลงนามในบันทึกทั้ง 2 ฝ่ายหรือฝ่ายหนึ่งเป็นผู้รับผิดชอบการดำเนินการ ซึ่งอาจจะมีเงื่อนไขผูกมัดร่วมด้วยหรือไม่มีก็ได้ MOU จึงเป็นเอกสารที่ไม่รัดกุม หากไม่สามารถดำเนินการได้ก็ไม่มีสิทธิเรียกร้อง
