พลเอก ชาติชาย ชุณหะวัณ เข้ารับตำแหน่ง นายกรัฐมนตรี เมื่อวันที่ 4 สิงหาคม พ.ศ. 2531 มีการปรับคณะรัฐมนตรี 1 ครั้งเมื่อวันที่ 9 ธันวาคม พ.ศ. 2533 ได้ดำรงตำแหน่งในฐานะนายกรัฐมนตรี เป็นระยะเวลารวมประมาณ 2 ปีครึ่ง
