โดยA เป็นผู้ผลิตสินค้าภายใต้เครื่องหมายการค้า Donutt ประสงค์จะขยายตลาดไปยังประเทศ.........................................เพื่อเป็นการส่งเสริมกิจการให้เจริญก้าวหน้า Aจึงแต่งตั้งตัวแทนจำหน่ายสินค้า โดยทั้งสองฝ่ายเห็นสอดคล้องต้องกัน จึงได้กำหนดเงื่อนไขไว้โดยความยินยอมของทั้งสองฝ่าย ดังนี้

ข้อ 1. Bตกลงยอมรับจะเป็นตัวแทนจำหน่ายผลิตภัณฑ์สินค้า ตามเอกสารแนบ 1(List of products)
ซึ่งAเป็นผู้ผลิตในประเทศไทย มีกำหนดเวลา……….ปี ด้วยความซื่อสัตย์สุจริต อีกทั้งจะใช้ความรู้ความสามารถที่จะส่งเสริมสินค้าของAให้เป็นที่แพร่หลาย และให้คำรับรองและสัญญาว่าจะไม่กระทำการอย่างหนึ่งอย่างใดให้เป็นการเสื่อมเสียและกระทบกระเทือนกับการจำหน่ายสินค้าดังกล่าวแล้ว

ข้อ 2. Aจะเป็นผู้กำหนดราคาของสินค้า ให้Bทราบเป็นครั้งคราวของราคาสินค้าอย่างต่ำสูง และBจะไม่จำหน่ายสินค้าต่ำไปกว่าราคาอย่างต่ำที่Aได้กำหนดไปนั้น

ข้อ 3. ในระหว่างอายุสัญญานี้ Bให้คำรับรองและสัญญาว่าจะไม่จำหน่ายสินค้าอื่นใดอันเป็นสินค้าอื่นใดอันเป็นสินค้าประเภทและชนิดเดียวกันอันเป็นการแข่งขันกับสินค้าของAเป็นการกระทบ กระเทือนในการค้าขายสินค้าของA ไม่ว่าBจะได้ทำการในนามBเองหรือในนามของผู้ใด

ข้อ 4. Aให้คำรับรองและสัญญาว่า ในระหว่างอายุสัญญาฉบับนี้ นอกจากจะขายผ่านBแล้ว Aจะไม่ขายสินค้าอันเป็นผลิตภัณฑ์ของตัวการให้กับผู้อื่นในเขตภาคหรือขายให้แก่ผู้หนึ่งผู้ใดเพื่อที่จะได้นำสินค้าเข้าไปขายในภาค……………………………อีกทั้งAยังให้คำรับรองว่าจะไม่ตั้งบุคคลอื่นใดเป็นตัวแทนขายสินค้าในภาค……………………………อีกด้วย

ข้อ 5. Bให้คำรับรองและสัญญาว่า จะไม่ทำการปลอม หรือเลียนแบบ หรือแปรสภาพ ของสินค้าของAอย่างใด ๆ เป็นอันขาด

ข้อ 6. เพื่อเป็นประกันการชำระเงินค่าสินค้าของA และความเสียหายในกรณีที่Bผิดสัญญานี้ข้อหนึ่งข้อใด Bตกลงยินยอมจัดทำ Irrevocable L/C or Bank Guaranteeให้A ที่ออกโดยธนาคารที่Aยอมรับมามอบให้ภายใน…………………….วันนับแต่วันทำสัญญานี้ และAจะคืนหนังสือค้ำประกันให้Bเมื่อเลิกสัญญา

ข้อ 7. วิธีการส่งสินค้า
(1) Aจะจัดสินค้าให้B เมื่อได้รับแจ้งตามใบสั่งสินค้าตามแบบฟอร์มของA
ภายในกำหนด………………วันนับแต่ได้รับ L/C หรือใบสั่งซื้อ(กรณีที่เป็น Bank Guarantee)
(2) Aจะต้องทำการตรวจสอบสินค้าที่ส่งไปยังB หากสินค้าที่ส่งไปไม่ถูกต้องครบถ้วน
Bจะต้องแจ้งให้Aทราบภายในกำหนด…….วัน หากBมิได้แจ้งให้ถือว่าสินค้าที่Aได้จัดส่งไปนั้นถูกต้องครบถ้วนแล้ว
(3) กรณีที่สินค้าที่จัดส่งเสียหาย หรือสูญหายในระหว่างการขนส่งตัวแทนก็จะต้องแจ้งให้ตัวการ
ทราบเช่นเดียวกัน
(4) สินค้าใดที่หมดอายุ หรือเสื่อมสภาพตามที่กำหนดไว้ในสลากBจะต้องจัดส่งคืนให้
ตัวการภายในกำหนด………….วัน หากตัวแทนไม่จัดส่งคืนให้Aให้ถือว่าBเป็นผู้รับผิดชอบในราคาของสินค้านั้นเอง

ข้อ 8. Bให้คำรับรองและสัญญาว่า จะจัดสร้างที่เก็บสินค้าและรักษาสินค้าตามอุณหภูมิที่กำหนดไว้ในสภาพสินค้า

ข้อ 9. การเลิกสัญญา
(1) สัญญานี้เลิกกันเมื่อหมดอายุสัญญา
(2) กรณีที่คู่สัญญาฝ่ายใดฝ่ายหนึ่งผิดสัญญาข้อหนึ่งข้อใด


ข้อ 10. การส่งคำบอกกล่าว
การส่งคำบอกกล่าวคู่สัญญาทั้งสองฝ่ายตกลงกันให้ส่งยังภูมิลำเนาที่อยู่ข้างต้น โดยทางไปรษณีย์
ตอบรับลงทะเบียน หรือโดยทางโทรสาร(แฟกซ์) หรือemail และให้ถือว่าเป็นการส่งโดยชอบด้วยกฎหมายแล้ว

สัญญานี้ได้ทำขึ้นเป็นสองฉบับมีข้อความตรงกัน ซึ่งคู่สัญญาทั้งสองฝ่ายได้อ่านและเข้าใจข้อความของสัญญานี้ดีโดยตลอดแล้ว เพื่อเป็นหลักฐานคู่สัญญาทั้งสองฝ่ายได้ลงลายมือชื่อและประทับตราสำคัญไว้
