จากการที่ได้ศึกษาวิวัฒนาการของกฎหมายต่างประเทศ ทําให้เราสามารถทราบ
ว่าประมวลกฎหมายแพ่งและพาณิชย์ของไทยได้รับอิทธิพลจากกฎหมายประเทศต่าง ๆ
ทั้งที่อยู่ในระบบซีวิลลอว์ และคอมมอนลอว์ เช่น ใน บรรพ 1 และบรรพ 2 ได้ลอกเลียนมา
จากกฎหมายแพ่งเยอรมัน และกฎหมายแพ่งญี่ปุ่
น บรรพ 3 ว่าด้วยเอกเทศสัญญา มีการ
เอาแบบอย่างกฎหมายมาจากหลายประเทศ โดยเฉพาะในลักษณะ 1 กฎหมายว่าด้วย ซื้อขาย
