การแก้ไขเงื่อนไขทุนจดทะเบียน

โครงการที่ได้รับส่งเสริมลงทุน จะต้องมีอัตราส่วนหนี้สินต่อทุนจดทะเบียน (หรือส่วนของผู้ถือหุ้น) ในเกณฑ์ที่เหมาะสม เพื่อไม่ให้มีภาระจากเงินกู้หรือสินเชื่อมากจนเกินไป

คณะกรรมการได้กำหนดเงื่อนไขอัตราส่วนหนี้สินต่อทุนจดทะเบียนไว้ดังนี้


1.กรณีเป็นโครงการริเริ่ม
จะต้องมีอัตราส่วนหนี้สิน : ทุนจดทะเบียนที่เรียกชำระ ไม่เกิน 3 : 1


2.กรณีเป็นโครงการขยายกิจการ
จะต้องมีอัตราส่วนหนี้สิน : ส่วนผู้ถือหุ้น (รวมโครงการขยาย) ในเกณฑ์ที่เหมาะสม โดยมีแนวทางพิจารณาเบื้องต้น ดังนี้

2.1 กรณีที่กิจการเดิมมีกำไรสะสม
จะต้องมีอัตราส่วนหนี้สิน : ส่วนผู้ถือหุ้น (รวมโครงการขยาย) ไม่เกิน 3 : 1 หรืออาจเกินกว่านี้ก็ได้ตามความเหมาะสม
2.2 กรณีที่กิจการเดิมขาดทุนสะสม
จะต้องมีอัตราส่วนหนี้สิน (เฉพาะโครงการส่วนขยาย) : ทุนจดทะเบียนที่จะเรียกชำระเพิ่มขึ้น ไม่เกิน 3 : 1


ในบัตรส่งเสริมได้กำหนดเงื่อนไขทุนจดทะเบียนไว้ 2 ขั้นตอน ดังนี้
1.ทุนจดทะเบียนในขั้นออกบัตรส่งเสริม
โดยในขั้นออกบัตรส่งเสริม อาจเรียกชำระขั้นต่ำเพียง 25% ของทุนที่จดทะเบียนไว้ ตามหลักเกณฑ์ของกระทรวงพาณิชย์ก่อนก็ได้


2.ทุนจดทะเบียนที่ต้องเรียกชำระในขั้นเปิดดำเนินการเต็มโครงการ
โดยในขั้นเปิดดำเนินการ จะต้องเรียกชำระให้ครบตามเงื่อนไขที่กำหนด
ตัวอย่าง : จะต้องมีทุนจดทะเบียนไม่น้อยกว่า 10 ล้านบาทก่อนออกบัตรส่งเสริม และจะต้องเรียกชำระไม่น้อยกว่า 5 ล้านบาทก่อนเปิดดำเนินการ

ในกรณีที่มีปัญหาในการเรียกชำระทุนจดทะเบียน ผู้ได้รับส่งเสริมสามารถขอแก้ไขเงื่อนไขทุนจดทะเบียนได้ ตามแนวทางดังนี้
1.การผ่อนผันเงื่อนไขทุนจดทะเบียนในขั้นออกบัตรส่งเสริม
โครงการที่มีขนาดการลงทุนสูง แต่มีความจำเป็นต้องออกบัตรส่งเสริมก่อนที่จะเพิ่มทุนจดทะเบียนให้เป็นไปตามเงื่อนไขที่กำหนด อาจผ่อนผันให้มีทุนจดทะเบียนขั้นต่ำ 1 ล้านบาทหรือมากกว่า เพื่อให้สามารถออกบัตรส่งเสริมให้ก่อนก็ได้


2.การขอลดทุนจดทะเบียน
กรณีที่กำหนดเงื่อนไขทุนจดทะเบียนสูงเกินความจำเป็นที่ต้องใช้ในโครงการ จะอนุญาตให้แก้ไขโครงการเพื่อลดทุนจดทะเบียนหรือลดทุนจดทะเบียนที่เรียกชำระได้ แต่ทั้งนี้ จะต้องไม่ทำให้อัตราส่วนหนี้สิน : ส่วนผู้ถือหุ้น ต่ำกว่าหลักเกณฑ์ข้างต้นที่คณะกรรมการกำหนด
