การพัฒนาตลาดทุนไทยกับปัญหาการทุจริตคอร์รัปชัน


ปัญหาการทุจริตคอร์รัปชันเป็นปัญหาของประเทศที่สำคัญและการต่อต้านคอร์รัปชันเป็นสิ่งที่ภาคเอกชนควรต้องมีส่วนร่วมในการแก้ไข สำนักงาน ก.ล.ต. ได้ดำเนินการเพื่อผลักดันบริษัทจดทะเบียน บริษัทหลักทรัพย์ บริษัทหลักทรัพย์จัดการกองทุนในหลากหลายรูปแบบ เช่น ขอความร่วมมือให้เข้ามาร่วมโครงการแนวร่วมปฏิบัติของภาคเอกชนไทยในการต่อต้านทุจริต (“CAC”) มากขึ้น เพื่อร่วมมือกันแก้ไขปัญหาคอร์รัปชันของประเทศ ซึ่งจะนำไปสู่การเสริมสร้างความน่าเชื่อถือ (Integrity) และความโปร่งใส (Transparency) ให้กับตลาดทุนไทยในสายตาของนักลงทุนทั่วโลก และการทำในวงกว้างจะเป็นแบบอย่างที่ดีหรือ Role Model ให้แก่บริษัทอื่น ๆ ที่ยังไม่ได้จดทะเบียนในตลาดหลักทรัพย์หรือภาคธุรกิจอื่นให้ปฏิบัติตาม ซึ่งก็จะสร้างความเข้มแข็งให้แก่ตลาดทุนของไทยและเสริมสร้างความเข้มแข็งของประเทศ

สำนักงาน ก.ล.ต. ได้ผลักดันให้ธุรกิจมีมาตรการต่อต้านคอร์รัปชัน โดยการออกประกาศให้บริษัทจดทะเบียนเปิดเผยข้อมูลนโยบายและการดำเนินมาตรการต่อต้านการทุจริตคอร์รัปชันในรายงานประจำปี แบบแสดงรายการข้อมูลประจำปี (แบบ 56-1) และ แบบแสดงรายการข้อมูลการเสนอขายหลักทรัพย์ (แบบ 69-1) ซึ่งการเปิดเผยข้อมูลไม่เพียงแต่เป็นประโยชน์แก่ผู้ลงทุนเท่านั้น แต่ยังช่วยให้บริษัทจดทะเบียนสามารถตรวจสอบและปรับปรุงการดำเนินการให้มีประสิทธิภาพมากขึ้นด้วย

นอกจากนี้ ผู้ลงทุนสถาบัน 5 กลุ่ม ได้แก่ กองทุนบำเหน็จบำนาญข้าราชการ สำนักงานประกันสังคม สมาคมบริษัทหลักทรัพย์จัดการลงทุน สมาคมบริษัทหลักทรัพย์ไทย และสมาคมประกันชีวิตไทย ประกาศจับมือต่อต้านการทุจริตคอร์รัปชั่น พร้อมประกาศเจตนารมณ์ที่จะร่วมมือในการกำหนดแนวทางการลงทุนที่ดี เมื่อวันที่ 11 มีนาคม 2556 โดยภายใต้ความร่วมมือนี้ จะมีการกำหนดแนวปฏิบัติในการดำเนินงานและการลงทุนของผู้ลงทุนสถาบัน เช่น แนวทางการออกเสียงในการประชุมผู้ถือหุ้น (Proxy Voting Guidelines) เพื่อสนับสนุนให้เกิดบรรษัทภิบาลที่ดี มีความรับผิดชอบต่อสังคม และต่อต้านการทุจริตคอร์รัปชั่นในบริษัทจดทะเบียนและธุรกิจในตลาดทุน โดยผู้ลงทุนสถาบันทุกกลุ่มถือปฏิบัติไปในแนวทางเดียวกัน ซึ่งจะเป็นการยกระดับตลาดทุนไทยรวมทั้งภาคธุรกิจของไทยให้มีคุณภาพและเป็นที่ยอมรับในระดับสากล
