หนังสือสัญญาฉบับนี้ได้ทำขึ้นที่ ณ บริษัท ลาร์ส ลิต้า จำกัด เลขที่ 34/12-15 ถนนประชานุเคราะห์ ตำบลป่าตอง อำเภอกะทู้ จังหวัดภูเก็ต เมื่อวันที่ 23 เดือนธันวาคม พ.ศ.2558
ระหว่าง

คู่สัญญาตกลงทำสัญญากัน โดยมีข้อความดังต่อไปนี้
ข้อ 1. วัตถุประสงค์

ข้อ 2. การลงทุน
คู่สัญญาตกลงซื้อขายและถือหุ้นกันดังต่อไปนี้
2.1 หุ้นส่วนที่ 1 ได้ขายหุ้นบางส่วน"หุ้นส่วนที่ 2และที่ 3 "เป็นจำนวนเงิน หนึ่งล้านบาท และยังคงถือหุ้นในบริษัท ลาร์ส ลิต้า จำกัด จำนวนหนึ่งหมื่นหุ้น เป็นอัตราส่วน 25 % โดย"หุ้นส่วนที่ 2และที่ 3 " ตกลงชำระราค่าค่าหุ้นดังกล่าวให้แก่ "หุ้นส่วนที่ 1" ดังนี้
1.ในวันทำสัญญาเป็นจำนวน 700,000.00บาท(เจ็ดแสนบาท) ซึ่งหุ้นส่วนที่ 1 ได้รับเงินครบถ้วนแล้ว
2.ชำระภายในวันที่ 31 มีนาคม 2559 จำนวน 300,000.00บาท(สามแสนบาทถ้วน)
2.2 บรรดารายได้และค่าใช้จ่ายทุกอย่างรวมถึงค่าภาษี ค่าจัดทำบัญชีงบดุล ต่างๆที่เกิดขึ้นก่อนวันที่ 20 ธันวาคม พ.ศ.2558 "หุ้นส่วนที่ 1"เป็นผู้รับผิดชอบทั้งหมดแต่เพียงฝ่าเดียว
2.3 หุ้นส่วนที่ 2และที่ 3 เป็นผู้ถือหุ้นใน บริษัท ลาร์ส ลิต้า จำกัด รวมกันเป็นจำนวน30,000หุ้นเป็นอัตราส่วน 75%
ข้อ 3. การแบ่งกำไรขาดทุน
การแบ่งกำไร และเฉลี่ยผลขาดทุนระหว่างคู่สัญญา ให้เป็นไปตามอัตราส่วนการลงทุนตามข้อ 2.และ
หุ้นส่วนที่ 2และที่ 3 ตกลงยินยอมแบ่งปันเงินค่าตอบแทนให้แก่ หุ้นส่วนที่ 1.ในฐานะผู้ถือหุ้น เป็นจำนวนเงินเดือนละ10,000บาท(หนึ่งหมื่นบาท) โดยจะชะระทุกๆ สินเดือน โดยมีรายละเอียดดังนี้
ช่วงแรกตั้งแต่เดือนมกราคม พ.ศ. 2559 ถึง 30 เมษายน พ.ศ. 2559
ช่วงถัดไปตั้งแต่เดือนพฤศจิกายน ถึง 30 เมษายน(6 เดือน) ของทุกๆปีจนกว่า หุ้นส่วนที่ 1 สิ้นสุดการถือหุ้นในบริษัท ลาร์ส ลิต้า จำกัด
ข้อ 4. การจัดการ
ในกิจการของหุ้นส่วนบริษัท ลาร์ส ลิต้า จำกัด คู่สัญญาตกลงให้ "หุ้นส่วนที่ 2และที่ 3 ".เป็นหุ้นส่วนผู้ดูแลกิจการของหุ้นส่วนทั้งหมดตลอดระยะเวลาของการเป็นหุ้นส่วนตามสัญญานี้ เพื่อดำเนินกิจการให้เป็นไปตามวัตถุประสงค์ของหุ้นส่วนตามสัญญานี้ และคู่สัญญาตกลงว่าจะไม่โอนสิทธิประโยชน์ และหรือหนี้สินตามสัญญาให้กับบุคคลภายนอก เว้นแต่จะได้รับความยินยอมเป็นหนังสือจากคู่สัญญาทุกฝ่าย
ข้อ 5 . การผิดสัญญา
คู่สัญญาตกลงว่า หากคู่สัญญาฝ่ายใดฝ่ายหนึ่งผิดสัญญาข้อหนึ่งข้อใดตามสัญญานี้ คู่สัญญาอีกฝ่ายหนึ่งมีสิทธิบอกเลิกสัญญา และเรียกค่าเสียหายได้
ข้อ 8. ดอกเบี้ย
คู่สัญญาตกลงว่า ในกรณีที่ฝ่ายใดฝ่ายหนึ่งมีสิทธิคิดดอกเบี้ยต่อกัน ทั้งสองฝ่ายตกลงให้ใช้อัตราดอกเบี้ยร้อยละ 15 ต่อปี บังคับระหว่างกัน
ข้อ 9. การบอกกล่าวทวงถาม
การบอกกล่าวทวงถาม หรือส่งเอกสารใด ๆ อันพึงมีไปยังคู่สัญญาอีกฝ่ายหนึ่งตามภูมิลำเนาที่ปรากฏในสัญญานี้ ให้ถือเป็นการส่งโดยชอบ และคู่สัญญาอีกฝ่ายได้ทราบแล้ว นับแต่วันที่คำบอกกล่าว หรือเอกสารนั้น ๆ พึงไปถึงตามปกติ
สัญญานี้ทำขึ้นเป็นสองฉบับ มีข้อความถูกต้องตรงกัน ทั้งสองฝ่ายได้ทราบ และเข้าใจข้อความของสัญญาโดยตลอดดีแล้ว เห็นว่าถูกต้องตรงตามเจตนาของตน จึงได้ลงลายมือชื่อและประทับตรา (ถ้ามี) ไว้เป็นสำคัญต่อหน้าพยาน และต่างยึดถือไว้ฝ่ายละฉบับ
