หนังสือสัญญาว่าจ้างออกแบบสถาปัตยกรรมทำขึ้น เมื่อวันที่ 22 กันยายน 2558_
ณ. บริเวณก่อสร้างโครงการ ระหว่าง บริษัท เจนนูอีนไทย จำกัด โดย คุณสุธิตา ถาวรพงษ์ และนาย โอริค ชาเปค ( Mr.Oldrich Capek ) กรรมการผู้มีอำนาจลงนามแทน สำนักงานตั้งอยู่เลขที่ Unit 401/407, 50 Tonson Building, Soi Tonson, Ploenchit Road, Lumpini, Pathumwan, Bangkok 10330, Thailand ซึ่งต่อไปในสัญญานี้จะเรียกว่า “ผู้ว่าจ้าง” ฝ่ายหนึ่ง
กับ นายสัญญา ทองจันทรา ผู้มีอำนาจลงนาม สำนักงานตั้งอยู่เลขที่ 152 / 28 ม.พลัสซิตี้พาร์ค ถนนเฉลิมพระเกรียติ์ ร.9 แขวงหนองบอน เขตประเวศ กรุงเทพฯ
ซึ่งต่อไปในสัญญานี้จะเรียกว่า “ผู้รับจ้าง” อีกฝ่ายหนึ่ง

คู่สัญญาทั้งสองตกลงทำสัญญาโดยมีข้อความดังต่อไปนี้

ข้อ 1. ผู้ว่าจ้างตกลงว่าจ้าง และ ผู้รับจ้างตกลงรับจ้างวิชาชีพจัดทำการวางผัง ออกแบบสถาปัตยกรรม ภายนอกและภายใน ในโครงการ Chinese Restaurant ซึ่งจะทำการก่อสร้าง ณ ซอยเฉลิมพระเกรียติ์ 48 แขวงดอกไม้ เขตประเวศ กรุงเทพฯ ปรากฎตามรูปแผนที่ของที่ดินแนบท้ายสัญญา ซึ่งถือเป็นส่วนหนึ่งของสัญญานี้ (เอกสารแนบท้ายสัญญาหมายเลข 1)
ข้อ 2. ผู้รับจ้างตกลงทำงานสถาปัตยกรรมสำหรับงานก่อสร้างตามสัญญาดังกล่าว ในข้อ 1 ข้างต้น โดยมีกำหนดการดำเนินการแต่ละขั้นตอนตามแผนงานการดำเนินการดังนี้
2.1 การวางเค้าโครงการตามข้อมูลที่เจ้าของงานมอบให้ และข้อมูลเกี่ยวกับบทบัญญัติแห่งกฎหมายที่เกี่ยวกับโครงการ และการจัดการวางเค้าโครงการออกแบบร่างขั้นต้นเพื่อเสนอแก่ผู้ว่าจ้างเอกสารที่ผู้รับจ้างจะเสนอให้เจ้าของงานพิจารณาอนุมัติตามขั้นตอนนี้ประกอบด้วย
2.1.1 แบบร่างผังบริเวณ
2.1.2 แบบร่างตัวอาคารประกอบด้วยผัง รูปด้าน รูปตัด ( หรือภาพ สามมิติ )
2.2 การออกแบบร่างขั้นสุดท้าย
ผู้รับจ้างจะใช้ข้อมูลที่ได้รับอนุมัติจากการออกแบบร่างขั้นต้นตามข้อ 2.1 เพื่อออกแบบร่างขั้นสุดท้ายเสนอแก่ผู้ว่าจ้าง เอกสารที่ผู้รับจ้างเสนอให้ผู้ว่าจ้างเห็นชอบและอนุมัติตามขั้นตอนประกอบด้วย
2.2.1 ผังบริเวณ
2.2.2 แบบร่างตัวอาคารแสดงผัง รูปด้าน รูปตัด ที่ได้รับการพัฒนาแล้ว
2.2.3 รายละเอียดวัสดุและอุปกรณ์ที่จะใช้ในโครงการโดยสังเขป
2.3 การทำรายละเอียดก่อสร้าง
หลังจากแบบร่างขั้นสุดท้ายได้รับการอนุมัติจากผู้ว่าจ้างแล้ว ผู้รับจ้างจะจัดทำรายละเอียดการก่อสร้าง เพื่อใช้เป็นเอกสารสัญญา เอกสารที่ผู้รับจ้างจะส่งมอบให้ผู้ว่าจ้างในตามขั้นตอนนี้ ประกอบด้วย
2.3.1 แบบแสดงผัง ถนนและระบบสาธารณูปโภคภายนอกอาคาร
2.3.2 แบบผังทุกชั้น
2.3.3 แบบแสดงรูปด้าน 4 รูป
2.3.4 แบบแสดงรูปตัดอย่างน้อย 2 รูป
2.3.5 รายละเอียดประกอบแนบ
2.4 การประกวดราคา
ผู้รับจ้างจะให้ความร่วมมือในการประกวดราคาดังนี้
2.4.1 ให้คำแนะนำในการตรวจสอบใบเสนอราคาของผู้รับจ้างก่อสร้าง
2.4.2 ให้คำแนะนำในการคัดเลือกผู้รับจ้างก่อสร้าง
2.4.3 จัดเตรียมเอกสารสัญญา หากผู้ว่าจ้างต้องการ
2.5 การก่อสร้าง
ผู้รับจ้างจะให้ความร่วมมือในระหว่างการก่อสร้างเพื่อให้การก่อสร้างดำเนินไปตามความประสงค์ในการออกแบบและเอกสารสัญญาดังต่อไปนี้
2.5.1 ตรวจสอบการปฏิบัติงานของผู้รับจ้างก่อสร้างเป็นครั้งคราว และในกรณีที่จำเป็นเพื่อให้เป็นไปตามแบบก่อสร้าง
2.5.2 ให้คำแนะนำแก่ผู้รับจ้างก่อสร้าง เพื่อให้งานก่อสร้างดำเนินไปด้วยความเรียบร้อย
2.5.3 ให้รายละเอียดเพิ่มเติมตามความจำเป็น
2.5.4 ตรวจและอนุมัติแบบใช้งาน และวัสดุอุปกรณ์ตัวอย่างที่ผู้รับจ้างก่อสร้างนำเสนอ
2.6 การส่งมอบเอกสาร
ผู้รับจ้างจะส่งมอบเอกสารตามข้อ 2.3 โดยมอบเป็นแบบพิมพ์เขียวจำนวน 10 ชุด และเอกสารประกอบแบบจำนวน 10 ชุด แก่ผู้ว่าจ้างในกรณีที่ผู้ว่าจ้างต้องการเอกสารมากกว่าที่ระบุไว้ ผู้รับจ้างจะเบิกค่าใช้จ่ายในการจัดพิมพ์เอกสารเพิ่มเติมตามที่เป็นจริง
2.7 รายการที่ไม่ครอบคลุมในค่าบริการ
2.7.1 การเจาะสำรวจคุณภาพดินในการรับน้ำหนัก
2.7.2 การรังวัดตรวจสอบที่ดิน หรือหาข้อมูลต่างๆ เกี่ยวกับที่ดินหรือทรัพย์สินอื่นๆ ในที่ดินนั้น
2.7.3 การขออนุญาตต่างๆ ต่อทางราชการ แต่ผู้รับจ้างจะเตรียมเอกสารให้ผู้ว่าจ้าง และยื่นขออนุญาตให้ แต่ค่าใช้จ่ายจะเป็นของผู้ว่าจ้าง
2.7.4 การบริหารงานก่อสร้าง
2.7.5 การควบคุมงานก่อสร้าง
2.7.6 การทำหุ่นจำลอง
2.7.7 การเซนต์แบบ เพื่อขออนุญาต ต่างๆ ทั้งแบบ สถาปัตยกรรมและแบบโครงสร้าง
เนื่องจากเป็นโครงการต่อเนื่อง ของทางโครงการเดิม จำเป็นต้องใช้ ทีมขออนุญาต

2.7.8 หากแบบก่อสร้างได้รับการทักท้วง หรือเร่งให้แก้ไขจากหน่วยราชการ ผู้รับจ้างมีหน้าที่

ข้อ 3. เพื่อเป็นการตอบแทนการบริการออกแบบตามรายละเอียดข้างต้น ผู้ว่าจ้างตกลงจะจ่ายค่าจ้างแก่ผู้รับจ้างเป็นจำนวนเงิน 355,000.- บาท ( สามแสนห้าหมื่นห้าพันบาท ถ้วน ) โดยแบ่งจ่ายเป็นงวดๆ ดังต่อไปนี้
งวดที่ 1 30% ในวันทำสัญญานี้ เพื่อเสนอแบบร่าง
เป็นเงิน 106,500.- บาท ( หนึ่งแสนหกพันห้าร้อยบาท )
งวดที่ 2 40% เมื่อส่งงานแบบสถาปัตยกรรมภายนอก
เป็นเงิน 142,000.- บาท ( หนึ่งแสนสี่หมื่นสองพันบาท )
งวดที่ 3 30% เมื่อส่งงานแบบสถาปัตยกรรมภายใน
เป็นเงิน 106,500.- บาท ( หนึ่งแสนหกพันห้าร้อยบาท )
ข้อ 4. ในกรณีที่ผู้ว่าจ้างได้อนุมัติให้ผู้รับจ้างเขียนแบบก่อสร้างแล้ว หากผู้ว่าจ้างประสงค์จะแก้ไขไปจากเดิมในส่วนที่เป็นสาระสำคัญ หรือแก้ไขผิดแผกไปจากแบบร่างเดิมมาก ผู้ว่าจ้างตกลงจะจ่ายเงินค่าจ้างเพิ่มให้แก่ผู้รับจ้าง ตามส่วนของงานที่ผู้รับจ้างได้แก้ไขเพิ่มเติมนั้น
ข้อ 5. แบบและรายละเอียดของแบบเป็นกรรมสิทธิ์ร่วมของผู้รับจ้างและผู้ว่าจ้าง ซึ่งจะใช้ได้เฉพาะกับโครงการนี้เท่านั้น ทั้งผู้ว่าจ้างและผู้รับจ้างไม่มีสิทธิ์ในการนำแบบที่ผู้รับจ้างมอบให้ไปใช้กับโครงการอื่น นอกจากจะได้รับคำยินยอมจากทั้งสองฝ่าย
ข้อ 6. ในกรณีที่ผู้ว่าจ้างต้องการใช้ชื่อผู้รับจ้างเพื่อการโฆษณา การดำเนินการจะต้องไม่ขัดต่อข้อบังคับของทางราชการที่เกี่ยวข้อง และจะต้องให้ผู้รับจ้างเห็นชอบในข้อความโฆษณาก่อน รวมทั้งผู้ว่าจ้างจะต้องไม่นำแบบที่ออกโดยผู้รับจ้างอื่นเข้ามาโฆษณาใ
