ขุนนางไทย คือข้าราชการที่ได้รับพระราชทานยศถาบรรดาศักดิ์ราชทินนามและศักดินาตั้งแต่ 400 ไร่ ขึ้นไป โดยขุนนางเป็นผู้ที่กำเนิดจากสามัญชน อาจจะมาจากครอบครัวชั้นสูงหรือชั้นต่ำในสังคมก็ได้ ฉะนั้นขุนนางเกิดจากการใช้พระราชอำนาจของกษัตริย์ สามัญชนที่มีโอกาสถวายตัวรับราชการกับกษัตริย์และได้รับศักดินา 400 ไร่ ขึ้นไป หรืออาจมีข้อยกเว้นหากมีศักดินาต่ำกว่า 400 ไร่ แต่รับราชการในกรมมหาดเล็กก็จัดเป็นขุนนาง ทั้งนี้ขุนนางในกรมมหาดเล็กจะได้รับการเลือกสรรโดยตรงจากพระมหากษัตริย์
สามัญชนจะได้รับการแต่งตั้งให้เป็นขุนนางอาจเกิดขึ้นได้ 2 ระยะ คือระยะแรกเมื่อเป็นเด็ก บิดาซึ่งเป็นขุนนางผู้ใหญ่นำเข้าเฝ้าถวายตัวเป็นมหาดเล็ก อาจจะถวายตัวกับเจ้านายพระองค์อื่นสักระยะ เมื่อมีคุณสมบัติครบที่จะเป็นขุนนางได้ ขุนนางผู้ใหญ่จะเป็นผู้พิจารณาคุณสมบัติ หากเห็นว่าเหมาะสมจะส่งไปประจำตามกรมกองต่างๆ ซึ่งมักเป็นกรมกองที่บิดามารดาหรือญาติพี่น้องรับราชการประจำอยู่แล้ว
ในพระราชกำหนดเก่าที่ตราขึ้นในรัชสมัยสมเด็จพระเจ้าอยู่หัวบรมโกศแห่งกรุงศรีอยุธยา ได้กำหนดคุณสมบัติของผู้ที่จะเป็นขุนนางว่าจะต้องประกอบด้วยวุฒิ 4 ประการ คือ ชาติวุฒิ (เป็นตระกูลขุนนางสืบทอดกันมา), วัยวุฒิ (อายุ 31 ปีขึ้นไป), คุณวุฒิ (มีภูมิรู้ที่ดี) และ ปัญญาวุฒิ (มีความฉลาดรอบรู้โดยทั่ว) นอกจากนี้ยังต้องมีฉันทาธิบดี (ถวายสิ่งที่ต้องประสงค์) วิริยาธิบดี (มีความเพียรในราชการ) จิตตาธิบดี (กล้าหาญในสงคราม) และวิมังสาธิบดี (ฉลาดการไตร่ตรองคดีความและอุบายในราชการต่างๆ) ทั้งนี้ กฎเกณฑ์เหล่านี้มิได้กำหนดเป็นการตายตัว
